TERMS AND CONDITIONS FOR THE SUPPLY OF GOODS AND SERVICES TO CHRISTIE'S

SECTION 1: Contracts subject to the laws of England and Wales

The terms and conditions in this Section 1 apply where the Order incorporating these terms and conditions is issued by Christie Manson & Woods Limited, or by another subsidiary of Christie’s International plc which is incorporated in England and Wales; or in any other case where the Order specifies that the contract is to be made subject to laws of England and Wales.

1. INTERPRETATION

1.1 Definitions

In these Conditions, the following definitions apply:

Bespoke Contract: any contract for the supply of Goods and/or Services to Christie’s where the terms and conditions of that contract have been individually negotiated

Business Day: a day (other than a Saturday, Sunday or a public holiday) when banks in London are open for business.

Christie’s: Christie Manson & Woods Limited registered in England and Wales with company number 1128160 (or such other subsidiary company of Christie’s International plc to which Goods and/or Services are to be supplied pursuant to the Order).

Christie’s Materials: has the meaning set out in clause 5.3(l).

Commencement Date: has the meaning set out in clause 2.2.

Conditions: these terms and conditions as amended from time to time in accordance with clause 14.8.

Contract: the contract between Christie’s and the Supplier for the supply of Goods and/or Services in accordance with these Conditions.

Deliverables: all documents, products and materials developed by the Supplier or its agents, contractors and employees as part of or in relation to the Services in any form or media, including without limitation drawings, maps, plans, diagrams, designs, pictures, computer programs, data, specifications and reports (including drafts).

Goods: the goods (or any part of them) set out in the Order (including any goods which are supplied to replace defective goods).

Goods Specification: any specification for the Goods, including any related plans and drawings that is agreed in writing by Christie’s and the Supplier.

Intellectual Property Rights: all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

Order: Christie’s order for the supply of Goods and/or Services, as set out in Christie’s purchase order form or in Christie’s written acceptance of the Supplier's quotation, as the case may be.

Request by Date: the date specified as such in the Order.

Services: the services, including without limitation any Deliverables, to be provided by the Supplier under the Contract as set out in the Service Specification.

Service Specification: the description or specification for Services agreed in writing by Christie’s and the Supplier.

Supplier: the person or firm from whom Christie’s purchases the Goods and/or Services. 

1.2 Construction

In these Conditions, the following rules apply: 
(a) a person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality);
(b) a references to a party includes its personal representatives, successors or permitted assigns;
(c) a reference to a statute or statutory provision is a reference to such statute or statutory provision as amended or re-enacted. A reference to a statute or statutory provision includes any subordinate legislation made under that statute or statutory provision, as amended or re-enacted;
(d) any phrase introduced by the terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms; and
(e) a reference to writing or written includes faxes and (save in the case of notices given under clause 14.3) e-mails. 

2. BASIS OF CONTRACT

2.1 The Order constitutes an offer by Christie’s to purchase Goods and/or Services from the Supplier in accordance with these Conditions.

2.2 The Order shall be deemed to be accepted on the earlier of:
(a) the Supplier issuing written acceptance of the Order; or
(b) any act by the Supplier consistent with fulfilling the Order,
at which point and on which date the Contract shall come into existence (Commencement Date).

2.3 These Conditions do not apply to any arrangement for the supply of Goods and/or Services under a Bespoke Contract. Subject to that qualification, these Conditions apply to the Contract to the exclusion of any other terms that the Supplier seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing. In consideration of Christie’s considering proposals from the Supplier for the supply of goods and/or services to Christie’s, the Supplier agrees that if it seeks to impose or incorporate any terms into the Contract which are inconsistent with these Conditions that proposal shall be deemed to be immediately rejected and replaced by a counter-proposal from Christie’s for the Supplier to perform the Contract upon these Conditions; and that this process shall be repeated as often as necessary to ensure that these Conditions are the last conditions which are proposed to apply to the Contract prior to its formation. Notwithstanding the foregoing, Christie’s may, acting by an authorised signatory and expressly referring to this clause 2.3, agree in writing to accept variations to these Conditions.

2.4 All of these Conditions shall apply to the supply of both Goods and Services except where the application to one or the other is specified.

3. SUPPLY OF GOODS

3.1 The Supplier warrants and represents that the Goods shall:
(a) correspond with their description and any applicable Goods Specification;
(b) be of satisfactory quality (within the meaning of the Sale of Goods Act 1979) and fit for any purpose held out by the Supplier or made known to the Supplier by Christie’s, expressly or by implication, and in this respect Christie’s relies on the Supplier's skill and judgment;
(c) unless otherwise agreed in writing, be free from defects in design, materials and workmanship and remain so for 12 months (or such other period as shall be agreed in writing) after delivery; and
(d) comply with all applicable statutory and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Goods.

3.2 The Supplier warrants and represents that at all times it has and maintains all the licences, permissions, authorisations, consents and permits that it needs to carry out its obligations under the Contract in respect of the Goods.

3.3 Christie’s shall have the right to inspect and test the Goods at any time before delivery.

3.4 If following such inspection or testing Christie’s considers that the Goods do not conform or are unlikely to comply with the Supplier's undertakings at clause 3.1, Christie’s shall inform the Supplier and the Supplier shall immediately take such remedial action as is necessary to ensure compliance.

3.5 Notwithstanding any such inspection or testing, the Supplier shall remain fully responsible for the Goods and any such inspection or testing shall not reduce or otherwise affect the Supplier's obligations under the Contract, and Christie’s shall have the right to conduct further inspections and tests after the Supplier has carried out its remedial actions.

4. DELIVERY OF GOODS

4.1 The Supplier warrants and represents that: 
(a) the Goods are properly packed and secured in such manner as to enable them to reach their destination in good condition;
(b) each delivery of the Goods is accompanied by a delivery note which shows the date of the Order, the Order number (if any), the type and quantity of the Goods (including the code number of the Goods (where applicable)), special storage instructions (if any) and, if the Goods are being delivered by instalments, the outstanding balance of Goods remaining to be delivered; and
(c) if the Supplier requires Christie’s to return any packaging material for the Goods to the Supplier, that fact is clearly stated on the delivery note. Any such packaging material shall only be returned to the Supplier at the cost of the Supplier.

4.2 The Supplier shall deliver the Goods: 
(a) on or before the Request by Date or, if no such date is specified, then within 14 days of the date of the Order, or on such other date as Christie’s shall notify to the Supplier in writing;
(b) to Christie’s premises as set out in the Order or as instructed by Christie’s before delivery (Delivery Location); and
(c) during Christie’s normal hours of business on a Business Day, or as instructed by Christie’s.

4.3 Delivery of the Goods shall be completed on the completion of unloading of the Goods at the Delivery Location.

4.4 If the Supplier: 
(a) delivers less than 95 per cent of the quantity of Goods ordered, Christie’s may reject all of the Goods; or
(b) delivers more than 105 per cent of the quantity of Goods ordered, Christie’s may at its sole discretion reject all of the Goods or the excess Goods,
and any rejected Goods shall be returnable at the Supplier's risk and expense. If the Supplier delivers more or less than the quantity of Goods ordered, and Christie’s accepts the delivery, a pro rata adjustment at the unit price applicable to the correct quantity of the Goods shall be made to the invoice for the Goods.

4.5 The Supplier shall not deliver the Goods in instalments without Christie’s prior written consent. Where it is agreed that the Goods are delivered by instalments, they may be invoiced and paid for separately. However, failure by the Supplier to deliver any one instalment on time or at all or any defect in an instalment shall entitle Christie’s to the remedies set out in clause 6.1.

4.6 Title and risk in the Goods shall pass to Christie’s on proper completion of delivery in accordance with these conditions.

5. SUPPLY OF SERVICES

5.1 The Supplier shall from the Commencement Date or, if so specified, from the Request by Date and for the duration of this Contract provide the Services to Christie’s in accordance with the terms of the Contract.

5.2 The Supplier shall meet any performance dates for the Services specified in the Order or notified to the Supplier by Christie’s.

5.3 In providing the Services, the Supplier warrants and represents that:
(a) it shall co-operate with Christie’s in all matters relating to the Services, and comply with all instructions of Christie’s;
(b) it shall perform the Services with the best care, skill and diligence in accordance with best practice in the Supplier's industry, profession or trade; 
(c) it shall use personnel who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier's obligations are fulfilled in accordance with this Contract;
(d) it shall ensure that the Services and Deliverables will conform with all descriptions and specifications set out in the Service Specification, and that the Deliverables shall be fit for any purpose expressly or impliedly made known to the Supplier by Christie’s; 
(e) it shall provide all equipment, tools and vehicles and such other items as are required to provide the Services;
(f) it shall use the best quality goods, materials, standards and techniques, and ensure that the Deliverables, and all goods and materials supplied and used in the Services or transferred to Christie’s, will be free from defects in workmanship, installation and design;
(g) its employees, agents, contractors and representatives are fully aware of and understand the provisions of global anti-bribery and anti-corruption legislation including but not limited to the UK Bribery Act 2010, the US Foreign Corrupt Practices Act and any applicable anti-bribery provisions of a Territory (collectively the “Anti-Bribery Provisions”) and that it has in place robust and adequate internal procedures (including but not limited to appropriate policies, approval processes, training and monitoring) to ensure that its employees, agents, contractors and representatives comply with the Anti-Bribery Provisions when performing the Services;


(h) it will promptly notify Christie’s in writing if (i) it becomes aware of any bribe, facilitation payment or other improper advantage made or offered by its employees, agents, contractors or representatives on Christie’s behalf or for Christie’s benefit; or (ii) it or its employees, agents, contractors or representatives become the subject of any investigation, inquiry or enforcement proceedings by any governmental, administrative or regulatory body regarding any offence or alleged offence under the Anti-Bribery Provisions, or any such investigation is threatened or pending. In addition, Supplier agrees to indemnify Christie’s against any losses, liabilities, damages, costs (including but not limited to legal fees) and expenses incurred as a result of any bribe or other improper payment made by it, its employees, agents, contractors or representatives;


(i) it has in place robust and adequate internal procedures (including but not limited to appropriate policies, approval processes, training and monitoring) to ensure that slavery or human trafficking is not taking place in any part of its business and it will promptly notify Christie’s in writing if it or its employees, agents, contractors or representatives become the subject of any investigation, inquiry or enforcement proceedings by any governmental, administrative or regulatory body regarding any offence or alleged offence under the Modern Slavery Act 2015, or any such investigation is threatened or pending or becomes aware of any slavery and human trafficking taking place in any part of its business;

(j) it shall obtain and at all times maintain all necessary licences and consents, and comply with all other applicable laws and regulations;

(k) it shall observe all health and safety rules and regulations and any other security requirements that apply at any of Christie’s premises;
(l) it shall hold all materials, equipment and tools, drawings, specifications and data supplied by Christie’s to the Supplier (Christie’s Materials) in safe custody at its own risk, maintain Christie’s Materials in good condition until returned to Christie’s, and not dispose or use Christie’s Materials other than in accordance with Christie’s written instructions or authorisation;
(m) it shall not do or omit to do anything which may cause Christie’s to lose any licence, authority, consent or permission upon which it relies for the purposes of conducting its business, and the Supplier acknowledges that Christie’s may rely or act on the Services.

6. CHRISTIE’S REMEDIES

6.1 If the Supplier fails to deliver the Goods and/or perform the Services by the applicable date, Christie’s shall, without limiting its other rights or remedies, have one or more of the following rights: 
(a) to terminate the Contract with immediate effect by giving written notice to the Supplier;
(b) to refuse to accept any subsequent performance of the Services and/or delivery of the Goods which the Supplier attempts to make;
(c) to recover from the Supplier any costs incurred by Christie’s in obtaining substitute goods and/or services from a third party;
(d) where Christie’s has paid in advance for Services that have not been provided by the Supplier and/or Goods which have not been delivered by the Supplier, to have such sums refunded by the Supplier; and
(e) to claim damages for any additional costs, loss or expenses incurred by Christie’s which are in any way attributable to the Supplier's failure to meet such dates.

6.2 If the Goods are not delivered by the applicable date, Christie’s may, at its option, claim or deduct 1.5 per cent of the price of the Goods for each week's delay in delivery by way of liquidated damages, up to a maximum of 10% per cent of the total price of the Goods. If Christie’s exercises its rights under this clause 6.2 it shall not be entitled to the remedies set out in clause 6.1(c) and (e) in respect of the Goods' late delivery but its election to receive such payments shall otherwise be without prejudice to the exercise of its rights under clause 6.1.

6.3 If the Supplier has delivered Goods that do not comply with the undertakings set out in clause 3.1, then, without limiting its other rights or remedies, Christie’s shall be entitled to exercise any one or more of the following rights, whether or not it has accepted the Goods:
(a) to reject the Goods (in whole or in part) whether or not title has passed and to return them to the Supplier at the Supplier's own risk and expense;
(b) to terminate the Contract with immediate effect by giving written notice to the Supplier;
(c) to require the Supplier to repair or replace the rejected Goods, or to provide a full refund of the price of the rejected Goods (if paid);
(d) to refuse to accept any subsequent delivery of the Goods which the Supplier attempts to make;
(e) to recover from the Supplier any expenditure incurred by Christie’s in obtaining substitute goods from a third party; and
(f) to claim damages for any additional costs, loss or expenses incurred by Christie’s arising from the Supplier's failure to supply Goods in accordance with clause 3.1.

6.4 These Conditions shall extend to any substituted or remedial services and/or repaired or replacement goods supplied by the Supplier.

6.5 Christie’s rights under this Contract are in addition to its rights and remedies implied by statute and common law.

7. CHRISTIE’S OBLIGATIONS

Christie’s shall:
(a) provide the Supplier with reasonable access at reasonable times to Christie’s premises for the purpose of providing the Services; and
(b) provide such information as Christie’s considers reasonably necessary for the purpose of enabling the Supplier to provide the Services. 

8. CHARGES AND PAYMENT

8.1 The price for the Goods:
(a) shall be the price set out in the Order, or if no price is quoted, the price set out in the Supplier's published price list in force at the Commencement Date; and
(b) shall be inclusive of the costs of packaging, insurance and carriage of the Goods, unless otherwise agreed in writing by Christie’s. No extra charges shall be effective unless agreed in writing and signed by Christie’s.
8.2 The charges for the Services shall be set out in the Order, and shall be the full and exclusive remuneration of the Supplier in respect of the performance of the Services. Unless otherwise agreed in writing by Christie’s, the charges shall include every cost and expense of the Supplier directly or indirectly incurred in connection with the performance of the Services.
8.3 In respect of Goods, the Supplier shall invoice Christie’s on or at any time after completion of delivery. In respect of Services, the Supplier shall invoice Christie’s on completion of the Services. Each invoice shall include such supporting information required by Christie’s to verify the accuracy of the invoice, including but not limited to the relevant purchase order number.
8.4 In consideration of the supply of Goods and/or Services by the Supplier, Christie’s shall pay the invoiced amounts within 30 days of the date of a correctly rendered invoice to a bank account nominated in writing by the Supplier. 
8.5 All amounts payable by Christie’s under the Contract are exclusive of amounts in respect of value added tax chargeable from time to time (VAT). Where any taxable supply for VAT purposes is made under the Contract by the Supplier to Christie’s, Christie’s shall, on receipt of a valid VAT invoice from the Supplier, pay to the Supplier such additional amounts in respect of VAT as are chargeable on the supply of the Goods and/or Services at the same time as payment is due for the supply of the Goods and/or Services.
8.6 The Supplier shall maintain complete and accurate records of the time spent and materials used by the Supplier in providing the Services, and the Supplier shall allow Christie’s to inspect such records at all reasonable times on request.
8.7 Christie’s may, without limiting its other rights or remedies, set off any amount owing to it by the Supplier against any amount payable by Christie’s to the Supplier under the Contract.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 In respect of the Goods and any goods that are transferred to Christie’s as part of the Services under this Contract, including without limitation the Deliverables or any part of them, the Supplier warrants that it has full clear and unencumbered title to all such items, and that at the date of delivery of such items to Christie’s, it will have full and unrestricted rights to sell and transfer all such items to Christie’s.

9.2 The Supplier assigns to Christie’s, with full title guarantee and free from all third party rights, all Intellectual Property Rights in the products of the Services, including for the avoidance of doubt the Deliverables.

9.3 To the fullest extent permitted by law, the Supplier shall obtain waivers of all moral rights in the products, including for the avoidance of doubt the Deliverables, of the Services to which any individual is now or may be at any future time entitled under Chapter IV of Part I of the Copyright Designs and Patents Act 1988 or any similar provisions of law in any jurisdiction.

9.4 The Supplier shall, promptly at Christie’s request, do (or procure to be done) all such further acts and things and the execution of all such other documents as Christie’s may from time to time require for the purpose of securing for Christie’s the full benefit of the Contract, including all right, title and interest in and to the Intellectual Property Rights assigned to Christie’s in accordance with clause 9.2.

9.5 All Christie’s Materials are and shall remain the exclusive property of Christie’s.

10. INDEMNITY

10.1 The Supplier shall keep Christie’s indemnified in full against all costs, expenses, damages and losses (whether direct or indirect), including any interest, fines, legal and other professional fees and expenses awarded against or incurred or paid by Christie’s as a result of or in connection with: 
(a) any claim made against Christie’s by a third party for death, personal injury or damage to property arising out of, or in connection with, defects in Goods, to the extent that the defect in the Goods is attributable to the acts or omissions of the Supplier, its employees, agents or subcontractors; 
(b) any claim made against Christie’s by a third party arising out of, or in connection with, the supply of the Goods or Services, to the extent that such claim arises out of the breach, negligent performance or failure or delay in performance of the Contract by the Supplier, its employees, agents or subcontractors; and
(c) any claim made against Christie’s for actual or alleged infringement of a third party's Intellectual Property Rights arising out of, or in connection with, the manufacture, supply or use of the Goods, or receipt, use or supply of the Services.

10.2 For the duration of the Contract and for any applicable warranty period, the Supplier shall maintain in force, with a reputable insurance company, professional indemnity insurance, product liability insurance and public liability insurance to cover the liabilities that may arise under or in connection with the Contract and shall, on Christie’s request, produce both the insurance certificate giving details of cover and the receipt for the current year's premium in respect of each insurance.

10.3 This clause 10 shall survive termination of the Contract.

11. CONFIDENTIALITY

A party (Receiving Party) shall keep in strict confidence, and store securely, all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the Receiving Party by the other party (Disclosing Party), its employees, agents or subcontractors, and any other confidential information concerning the Disclosing Party's business or its products or its services which the Receiving Party may obtain. The Receiving Party shall restrict disclosure of such confidential information to such of its employees, agents or subcontractors as need to know it for the purpose of discharging the Receiving Party's obligations under the Contract, and shall ensure that such employees, agents or subcontractors are subject to obligations of confidentiality corresponding to those which bind the Receiving Party. This clause 11 shall survive termination of the Contract.

12. TERMINATION

12.1 Without limiting its other rights or remedies, Christie’s may terminate the Contract with immediate effect by giving written notice to the Supplier if:
(a) the Supplier commits a material or persistent breach of the Contract and (if such a breach is remediable) fails to remedy that breach within 30 days of receipt of notice in writing of the breach. For the avoidance of doubt, breach of sub-clauses 5.3(g)-(i) shall always be deemed a material breach incapable of remedy;
(b) the Supplier suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits inability to pay its debts or (being a company) is deemed unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or (being an individual) is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the Insolvency Act 1986 or (being a partnership) has any partner to whom any of the foregoing apply;
(c) the Supplier commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors [other than (where a company) for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier;
(d) a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of the Supplier (being a company) other than for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier;
(e) the Supplier (being an individual) is the subject of a bankruptcy petition order;
(f) a creditor or encumbrancer of the Supplier attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days;
(g) an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the Supplier (being a company);
(h) a floating charge holder over the assets of the Supplier (being a company) has become entitled to appoint or has appointed an administrative receiver;
(i) a person becomes entitled to appoint a receiver over the assets of the Supplier or a receiver is appointed over the assets of the Supplier;
(j) any event occurs, or proceeding is taken, with respect to the Supplier in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in clause 12.1(b) to clause 12.1(i) (inclusive);
(k) the Supplier suspends or threatens to suspend, or ceases or threatens to cease to carry on, all or a substantial part of its business; or
(l) the Supplier (being an individual) dies or, by reason of illness or incapacity (whether mental or physical), is incapable of managing his own affairs or becomes a patient under any mental health legislation.

12.2 Without limiting its other rights or remedies, Christie’s may terminate the Contract:
(a) in respect of the supply of Services, by giving the Supplier three months' written notice; and
(b) in respect of the supply of Goods, with immediate effect by giving written notice to the Supplier, in which case Christie’s shall pay the Supplier for Goods already delivered and accepted by Christie’s and (if Goods are in the course of being manufactured or adapted for Christie’s) fair and reasonable compensation for any work in progress on any other Goods at the date of termination; but such compensation shall not include loss of anticipated profits or any consequential loss.

12.3 In any of the circumstances in these Conditions in which Christie’s may terminate the Contract, Christie’s may instead terminate part of the Contract and the Contract shall continue in respect of the remaining supply.

13. CONSEQUENCES OF TERMINATION

On termination of the Contract or any part of it for any reason:
(a) where the Services are terminated, the Supplier shall (unless Christie’s directs the Supplier not to do so) immediately deliver to Christie’s all Deliverables, whether or not then complete; and shall return all Christie’s Materials. If the Supplier fails to do so, then Christie’s may without limiting its other rights or remedies enter the Supplier's premises and take possession of them. Until they have been returned or delivered, the Supplier shall be solely responsible for their safe keeping and will not use them for any purpose not connected with this Contract; 
(b) the accrued rights and remedies of the parties as at termination shall not be affected, including the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination; and
(c) clauses which expressly or by implication have effect after termination shall continue in full force and effect.

14. GENERAL

14.1 Force majeure: Neither party shall be liable to the other as a result of any delay or failure to perform its obligations under the Contract if and to the extent such delay or failure is caused by an event or circumstance which is beyond the reasonable control of that party which by its nature could not have been foreseen by such a party or if it could have been foreseen was unavoidable. If such event or circumstances prevent the Supplier from supplying the Goods and/or Services for more than two weeks, Christie’s shall have the right, without limiting its other rights or remedies, to terminate this Contract with immediate effect by giving written notice to the Supplier.

14.2 Assignment and subcontracting:
(a) The Supplier shall not assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract without the prior written consent of Christie’s. 
(b) Christie’s may at any time assign, transfer, charge, subcontract, or deal in any other manner with all or any of its rights under the Contract and may subcontract or delegate in any manner any or all of its obligations under the Contract to any third party or agent.

14.3 Notices: 
(a) Any notice or other communication required to be given to a party under or in connection with this Contract shall be in writing and shall be delivered to the other party personally or sent by prepaid first-class post, recorded delivery or by commercial courier, at its registered office (if a company) or (in any other case) its principal place of business, or sent by fax to the other party's main fax number.
(b) Any notice or communication shall be deemed to have been duly received if delivered personally, when left at the address referred to above or, if sent by prepaid first-class post or recorded delivery, at 9.00 am on the second Business Day after posting, or if delivered by commercial courier, on the date and at the time that the courier's delivery receipt is signed, or if sent by fax, on the next Business Day after transmission.
(c) This clause 14.3 shall not apply to the service of any proceedings or other documents in any legal action. For the purposes of this clause, "writing" shall not include e-mails and for the avoidance of doubt notice given under this Contract shall not be validly served if sent by e-mail.

14.4 Waiver and cumulative remedies: 
(a) A waiver of any right under the Contract is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising any right or remedy under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor preclude or restrict its further exercise. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
(b) Unless specifically provided otherwise, rights arising under the Contract are cumulative and do not exclude rights provided by law.

14.5 Severance:
(a) If a court or any other competent authority finds that any provision (or part of any provision) of the Contract is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Contract shall not be affected. 
(b) If any invalid, unenforceable or illegal provision of the Contract would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

14.6 No partnership: Nothing in the Contract is intended to, or shall be deemed to, constitute a partnership or joint venture of any kind between any of the parties, nor constitute any party the agent of another party for any purpose. No party shall have authority to act as agent for, or to bind, the other party in any way.

14.7 No publicity: The Supplier shall not use the name or marks, refer to, or identify Christie’s or its affiliates as a customer in publicity releases, promotional or marketing materials, announcements, customer listings, testimonials, or advertising, without prior written consent from Christie’s.

14.8 Third parties: A person who is not a party to the Contract shall not have any rights under or in connection with it.

14.9 Variation: Any variation, including any additional terms and conditions, to the Contract shall only be binding when agreed in writing and signed by Christie’s.

14.10 Governing law and jurisdiction: The Contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, English law, and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

SECTION 2: Contracts subject to the laws of the United States

TERMS AND CONDITIONS FOR THE SUPPLY OF GOODS AND SERVICES

These terms and conditions (the “Agreement”) apply to any Purchase Order issued by Christie’s Inc., a New York Corporation with its principal place of business at 20 Rockefeller Plaza, New York, New York 10020. These terms and conditions do not apply to any arrangement for the supply of Goods and/or Services which are under a contract where the terms and conditions of that contract have been individually negotiated (a “Bespoke Contract”).

1. Acceptance

1.1 The Purchase Order constitutes an offer by Christie’s to purchase Goods and/or Services from the Supplier in accordance with this Agreement.

1.2 The Purchase Order shall be deemed to be accepted by Supplier on the earlier of:

(a) the Supplier issuing written acceptance of the Purchase Order; or
(b) any act by the Supplier consistent with fulfilling the Purchase Order,

1.3 This Agreement shall apply to the supply of both Goods and Services except where the application to one or the other is specified.

2. Supply of Goods

2.1 If supplying Goods under this Agreement, the Supplier shall ensure that the Goods shall:

(a) correspond with their description and any applicable Purchase Order;
(b) be of satisfactory quality and fit for any purpose held out by the Supplier or made known to the Supplier by Christie’s, expressly or by implication, and in this respect Christie’s relies on the Supplier’s skill and judgment;
(c) unless otherwise agreed in writing, be free from defects in design, materials and workmanship and remain so for twelve (12) months (or such other period as shall be agreed in writing) after delivery; and
(d) comply with all applicable statutory and regulatory requirements relating to the manufacture, labeling, packaging, storage, handling and delivery of the Goods.

2.2 The Supplier shall ensure that at all times it has and maintains all the licenses, permissions, authorizations, consents and permits that it needs to carry out its obligations under the Agreement in respect of the Goods.

2.3 Christie’s shall have the right to inspect and test the Goods at any time before delivery.

2.4 If following such inspection or testing Christie’s considers that the Goods do not conform or are unlikely to comply with the Supplier’s undertakings at Section 3.1, Christie’s shall inform the Supplier and the Supplier shall immediately take such remedial action as is necessary to ensure compliance.

2.5 Notwithstanding any such inspection or testing, the Supplier shall remain fully responsible for the Goods and any such inspection or testing shall not reduce or otherwise affect the Supplier’s obligations under the Agreement, and Christie’s shall have the right to conduct further inspections and tests after the Supplier has carried out its remedial actions.

3. Delivery of Goods

3.1 The Supplier shall ensure that:

(a) the Goods are properly packed and secured in such manner as to enable them to reach their destination in good condition;
(b) each delivery of the Goods is accompanied by a delivery note which shows the date of the order, the Purchase Order number (if any), the type and quantity of the Goods (including the code number of the Goods (where applicable)), special storage instructions (if any) and, if the Goods are being delivered by installments, the outstanding balance of Goods remaining to be delivered; and
(c) if the Supplier requires Christie’s to return any packaging material for the Goods to the Supplier, that fact is clearly stated on the delivery note. Any such packaging material shall only be returned to the Supplier at the cost of the Supplier.

3.2 The Supplier shall deliver the Goods:
(a) on or before the Request by Date or, if no such date is specified, then within fourteen (14) days of the date of the Purchase Order, or on such other date as Christie’s shall notify to the Supplier in writing;
(b) to Christie’s premises as set out in the Purchase Order or as instructed by Christie’s before delivery (Delivery Location); and
(c) during Christie’s normal hours of business, or as instructed by Christie’s.

3.3 If the Supplier:
(a) delivers less than 95% of the quantity of Goods ordered, Christie’s may reject all of the Goods; or
(b) delivers more than 105% of the quantity of Goods ordered, Christie’s may at its sole discretion reject all of the Goods or the excess Goods.

3.4 Christie’s shall have thirty (30) days after receipt of the Goods to either (i) accept the Goods or (ii) provide notice to Supplier that it rejects the Goods because it fails to satisfy the requirements of the applicable Purchase Order. If Christie’s rejects the Goods, the Supplier as five (5) days upon receiving notice of such rejection to deliver a corrected Goods.

3.5 Any rejected Goods shall be returnable at the Supplier’s risk and expense. If the Supplier delivers more or less than the quantity of Goods ordered, and Christie’s accepts the delivery, a pro rata adjustment at the unit price applicable to the correct quantity of the Goods shall be made to the invoice for the Goods.

3.6 The Supplier shall not deliver the Goods in installments without Christie’s prior written consent. Where it is agreed that the Goods are delivered by installments, they may be invoiced and paid for separately. However, failure by the Supplier to deliver any one installment on time or at all or any defect in an installment shall entitle Christie’s to the remedies set out in Section 5.

3.7 Title and risk in the Goods shall pass to Christie’s on proper completion of delivery in accordance with these conditions.

4. Supply of Services

4.1 If supplying Services under this Agreement, the Supplier shall meet any performance dates for the Services specified in the Purchase Order or notified to the Supplier by Christie’s.

4.2 In providing the Services, the Supplier shall:

(a) cooperate with Christie’s in all matters relating to the Services, and comply with all instructions of Christie’s;
(b) perform the Services with the best care, skill and diligence in accordance with best practice in the Supplier's industry, profession or trade;
(c) use personnel who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier’s obligations are fulfilled in accordance with this Agreement;
(d) ensure that the Services conform with all descriptions and specifications set out in the Purchase Order, and that the Services shall be fit for any purpose expressly or impliedly made known to the Supplier by Christie’s;
(e) provide all equipment, tools and vehicles and such other items as are required to provide the Services;
(f) use the best quality goods, materials, standards and techniques, and ensure that the Services, and all goods and materials supplied and used in the Services or transferred to Christie’s, will be free from defects in workmanship, installation and design;
(g) obtain and at all times maintain all necessary licenses and consents, and comply with all applicable laws and regulations;
(h) observe all health and safety rules and regulations and any other security requirements that apply at any of Christie’s premises;
(i) hold all materials, equipment and tools, drawings, specifications and data supplied by Christie’s to the Supplier (“Christie’s Materials”) in safe custody at its own risk, maintain Christie’s Materials in good condition until returned to Christie’s, and not dispose or use Christie’s Materials other than in accordance with Christie’s written instructions or authorization;
(j) not do or omit to do anything which may cause Christie’s to lose any license, authority, consent or permission upon which it relies for the purposes of conducting its business, and the Supplier acknowledges that Christie’s may rely or act on the Services.

5. Christie’s Remedies

5.1 If the Supplier fails to deliver the Goods and/or perform the Services by the applicable date or has delivered Goods or provided Services that do not comply with the undertakings set out in Sections 2, 3, or 4, then, without limiting its other rights or remedies, Christie’s shall be entitled to exercise any one or more of the following rights, whether or not it has accepted the Goods or Services:

(a) to terminate the Agreement with immediate effect by giving written notice to the Supplier;
(b) to refuse to accept any subsequent performance of the Services and/or delivery of the Goods which the Supplier attempts to make;
(c) to recover from the Supplier any costs incurred by Christie’s in obtaining substitute goods and/or services from a third party;
(d) to require the Supplier to repair or replace the rejected Goods, or to provide a full refund of the price of the rejected Goods (if paid);
(e) where Christie’s has paid in advance for Services that have not been provided by the Supplier and/or Goods which have not been delivered by the Supplier, to have such sums refunded by the Supplier; and
(f) to claim damages for any additional costs, loss or expenses incurred by Christie’s which are in any way attributable to the Supplier’s failure to meet such dates.

5.3 Christie’s remedial rights under this Section shall extend to any substituted or remedial Services and/or repaired or replacement Goods supplied by the Supplier.

5.4 Christie’s rights under this Agreement are in addition to its rights and remedies implied by statute and common law.

6. Christie’s Obligations

Christie’s shall (i) provide the Supplier with reasonable access at reasonable times to Christie’s premises for the purpose of providing the Services or delivering the Goods; and (ii) provide such information as Christie’s considers reasonably necessary for the purpose of enabling the Supplier to provide the Services or deliver the Goods.

7. Payments

7.1 Christie’s shall pay each invoice submitted hereunder within thirty (30) days of receipt thereof, which invoice shall be submitted within thirty (30) days following the end of the period for which services are rendered in accordance with the payment schedule specified in the Purchase Order. All charges for Goods shall be inclusive of the costs of packaging, insurance and carriage, and all charges for Services shall be the full and exclusive remuneration of the Supplier in respect of the performance of the Services. No extra charges shall be effective unless agreed to in writing and signed by Christie’s.

7.2 Christie’s may, without limiting its other rights or remedies, set off any amount owing to it by the Supplier against any amount payable by Christie’s to the Supplier under the Agreement.

7.3 The Supplier shall maintain complete and accurate records of the time spent and materials used by the Supplier in providing the Services or Goods, and the Supplier shall allow Christie’s to inspect such records at all reasonable times on request.

8. Independent Contractor:

Supplier acknowledges that it is acting as an independent contractor, that Supplier is solely responsible for its actions or inactions, and that nothing in this Agreement is intended to, or shall be deemed to, constitute a partnership or joint venture of any kind between any of the parties, nor constitute any party the agent or employee of another party for any purpose. Supplier is not authorized to enter into contracts or agreements on behalf of Christie’s or to otherwise create obligations of Christie’ to third parties. Supplier shall be responsible for and shall maintain adequate records of expenses Supplier shall incur in the course of performing Services or delivery Goods hereunder. Supplier shall be solely responsible for and shall file, on a timely basis, tax returns and payments required to be filed with or made to any federal or state or local tax authority with respect to its performance of Services or delivery of Goods hereunder. Neither federal, nor state, nor local income tax of any kind shall be withheld or paid by Christie’ on behalf of Supplier or the employees of Supplier. Supplier shall not be entitled to the provision of any Christie’s employee benefits nor shall Christie’ be responsible for the payment of worker’s compensation, disability benefits or unemployment insurance.

9. Confidential Information

For purposes of this Agreement, the term “Confidential Information” shall mean any and all information of Christie’s or its clients or customers that is disclosed to Supplier in written, graphic, recorded, photographic or any machine readable form or that is orally conveyed to Supplier.

Supplier covenants and agrees that Supplier will use Confidential Information only for the purposes of Supplier’s work for Christie’s and shall not disclose any Confidential Information to any person or persons outside of Christie’s.

Supplier further agrees to store and maintain all Confidential Information in a secure place. On the termination of this Agreement, Supplier shall deliver all records, date, information, and any other documents produced or acquired during the performance of this Agreement and all copies thereof to Christie’s. Such material shall at all times remain in the exclusive property of Christie’s, unless otherwise agreed in writing. Upon termination, Supplier agrees to make no further use or utilization of any Confidential Information.

10. Intellectual Property:

10.1 Work Made for Hire. In relation to the performance of this Agreement Supplier may create certain works for Christie’s that may be copyrighted or copyrightable under the laws of the United States. To the extent that any such works are created, Supplier will be considered to have created a Work Made for Hire as defined in 17 U.S.C. §101, and Christie’s shall have the sole right to the copyright. In the event that any such work created by Supplier does not qualify as a Work Made For Hire, Supplier hereby assigns its copyright and all rights, throughout the world, in and to the work to Christie’s, as provided for in subparagraph (b) below.

10.2 Title to Works, Trade-Marks and Inventions Produced. It is understood and agreed that the entire right, title and interest throughout the world to all works, trademarks, and/or inventions that are conceived of, prepared, procured, generated or produced, whether or not reduced to practice, by Supplier, either solely or jointly with others during the course of, in connection with, or as related to the performance of this Agreement, shall be and hereby are vested and assigned by Supplier to Christie’s.

10.3 Supplier agrees to execute any and all documents prepared by Christie’s, and to do all other lawful acts as may be necessary, useful or convenient for Christie’s to establish, document, and protect such rights.

10.4 Supplier has acquired or shall acquire from each of its employees, consultants, and subcontractors, if any, the necessary rights to all such work, trademarks, and inventions produced by such employees, consultants, and subcontractors, within the scope of their employment by Supplier in performing Services under this Agreement. Supplier shall obtain the cooperation of each such party to secure to Christie’s or its nominees the rights Christie’s may acquire in accordance with the provision of this Section 10.

10.5 Christie’s Materials. All Christie’s materials are and shall remain the exclusive property of Christie’s.

11. Termination

Christie’s may discontinue the use of Supplier’s services with or without reason or cause, at any time immediately upon written notice to Supplier. Supplier shall have the right to terminate this Agreement upon thirty (30) days’ prior written notice setting forth the effective date of termination; provided, however, that such date shall not be prior to Supplier’s completion of all Services or delivery of Goods that Supplier has agreed to perform. In the event of any such termination, Christie’s shall make payments to Supplier for all Services performed or Goods delivered in accordance with the terms and conditions herein up to the date of termination, and Supplier shall immediately return or provide to Christie’s, without limitation, all documents, drawings and other items of whatever nature supplied to Supplier by Christie’s or developed by Supplier in accordance with this Agreement. Clauses which expressly or by implication have effect after termination shall continue in full force and effect.

12. Indemnification

Supplier shall indemnify, defend, and hold harmless Christie’s, its affiliates, and their respective directors, officers, employees, agents, customers, successors and assigns, from and against any and all claims, whether valid or invalid, damages, liabilities, costs and expenses whatsoever (including reasonable attorney’s fees) which Supplier shall incur, directly or indirectly, arising from or in connection with any matter contemplated in this Agreement, including without limitation: (a) Supplier’s breach, misrepresentation, or nonperformance under this Agreement; (b) any claim or action for or relating to personal loss, injury, death, property damage or otherwise due to Supplier’s acts or omissions or defects in Goods; or (c) any claim made against Christie’s for actual or alleged infringement of a third party’s Intellectual Property Rights arising out of, or in connection with, the manufacture, supply or use of the Goods, or receipt, use or supply of the Services. The obligations set forth in this paragraph shall survive termination of this Agreement.

13. Insurance

Without limiting Supplier’s liability to Christie’s or its affiliates under this Agreement, Supplier, at its sole cost and expense, secure and maintain adequate insurance coverage to protect Christie’s and its affiliates from any losses or claims which may arise out of the performance of the Services including: (i) Worker’s Compensation Insurance as required by laws and regulations applicable to and covering employees of the company; (ii) commercial general liability insurance (including contractual liability coverage, broad form property damage liability and personal and bodily injury liability) covering all employees, subcontractors, agents and servants of Supplier and its subcontractors (if any) engaged in the performance of Services or delivery of Goods hereunder, with limits of at least $2,000,000 per occurrence; and (iii) if applicable, automobile liability insurance covering Supplier and its subcontractors (if any) engaged in the performance of Services or delivery of Goods hereunder with limits of not less than $1,000,000 per occurrence.

If requested by Christie’s, prior to commencement of Services or delivery of Goods, and upon the policy renewal, Supplier will submit certificates of insurance to Christie’s. The Supplier will provide thirty (30) days advance written notice to Christie’s before termination, change, or cancellation takes effect of any coverage under such policies evidenced on such certificate, regardless of whether cancelled by Supplier or the insurance carrier. Such insurance will be primary and noncontributory to any insurance maintained by Christie’s.

Certificates should have Christie’s Inc., 20 Rockefeller Plaza New York, NY 10020, listed as the certificate holder and the certificate holder should be named as an additional insured on a “primary and non-contributory” basis on all Auto and Commercial general liability policies. Waiver of subrogation should apply to all policies including Worker’s Compensation.

14. Laws and Regulations

Supplier and Supplier’s employees shall comply with all applicable laws, rules and regulations, as well as all applicable policies, regulations and procedures of Christie’s.

15. No Publicity

Supplier shall not use the name or marks, refer to, or identify Christie’s or its affiliates in publicity releases, promotional or marketing materials, announcements, customer listings, testimonials, or advertising, without prior written consent from Christie’s.

16. Assignment/Change of Control

Supplier shall not assign or subcontract this Agreement or any rights, nor delegate obligations hereunder, without the prior written consent of Christie’s. This Agreement shall be binding upon the parties’ respective successors and assigns. Unless otherwise prohibited by law, Supplier shall provide Christie’s with thirty (30) days prior written notice, if a change of control of Supplier or an entity that controls Supplier occurs.

17. Notices

17.1 Any notice or other communication required to be given to a party under or in connection with this Contract shall be in writing and shall be delivered to the other party personally or sent by prepaid first-class mail, recorded delivery or by commercial courier, at its registered office (if a company) or (in any other case) its principal place of business, or sent by fax to the other party’s main fax number. A copy of any notice provided to Christie’s shall also be sent to the attention of “Christie’s Legal Department.”

17.2 This Section shall not apply to the service of any proceedings or other documents in any legal action. For the purposes of this Section, “writing” shall not include e-mails and for the avoidance of doubt notice given under this Agreement shall not be validly served if sent by e-mail.

18. Force Majeure

Neither party shall be liable to the other as a result of any delay or failure to perform its obligations under the Agreement if and to the extent such delay or failure is caused by an event or circumstance which is beyond the reasonable control of that party which by its nature could not have been foreseen by such a party or if it could have been foreseen was unavoidable. If such event or circumstances prevent the Supplier from supplying the Goods and/or Services for more than two weeks, Christie’s shall have the right, without limiting its other rights or remedies, to terminate this Agreement with immediate effect by giving written notice to the Supplier.

19. No Third-Party Beneficiaries

Christie’s and Supplier intend that this Agreement will not benefit or create any right or cause of action in or on behalf of any person or entity other than the parties hereto.

20. Complete Agreement

This Agreement supersedes all prior oral or written agreements and understandings between the parties relating to the subject matter hereof, constitutes the entire agreement between the parties.

21. Modification

Christie’s reserves the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this website.

22. Enforceability

In the event any provision of this Agreement is found to be legally unenforceable, such unenforceability shall not prevent the enforcement of any other provision.

23. No Waiver

The failure by either party to insist upon strict performance of any of the provisions contained in this Agreement on any occasions shall not be deemed a waiver of its rights under that or any other provisions hereof.

24. Governing Law

This Agreement shall be governed by, and construed in accordance with, the laws of the State of New York, without regard to choice of law rules.

25. Definitions: The terms in this Agreement are defined as follows:

25.1 Goods: the goods (or any part of them) set out in the Purchase Order (including any goods which are supplied to replace defective goods).

25.2 Intellectual Property Rights: all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

25.3 Purchase Order: Christie’s order for the supply of Goods and/or Services, as set out in Christie’s purchase order form or in Christie’s written acceptance of the Supplier’s quotation, as the case may be.

25.4 Request by Date: the date specified as such in the Purchase Order.

25.5 Services: the services to be provided by the Supplier under the Agreement as set out in the Purchase Order.

TERMS AND CONDITIONS FOR THE SUPPLY OF GOODS AND SERVICES TO CHRISTIE'S

SECTION 1: Contracts subject to the laws of Switzerland

The terms and conditions in this Section 1 apply where the Order incorporating these terms and conditions is issued by Christie’s (International) SA or Christie’s eCommerce SA; or in any other case where the Order specifies that the contract is to be made subject to the laws of Switzerland.

1. INTERPRETATION

1.1 Definitions

In these Conditions, the following definitions apply:

Bespoke Contract: any contract for the supply of Goods and/or Services to Christie’s where the terms and conditions of that contract have been individually negotiated

Business Day: a day (other than a Saturday, Sunday or a public holiday) when banks in Geneva are open for business.

Christie’s: Christie’s (International) SA registered in Switzerland with company number CHE-105.818.623 and Christie’s eCommerce SA registered in Switzerland with company number CHE-184.006.109 (or such other subsidiary company of Christie’s International plc to which Goods and/or Services are to be supplied pursuant to the Order).

Christie’s Materials: has the meaning set out in clause 5.3(I).

Commencement Date: has the meaning set out in clause 2.2.

Conditions: these terms and conditions as amended from time to time in accordance with clause 14.8.

Contract: the contract between Christie’s and the Supplier for the supply of Goods and/or Services in accordance with these Conditions.

Deliverables: all documents, products and materials developed by the Supplier or its agents, contractors and employees as part of or in relation to the Services in any form or media, including without limitation drawings, maps, plans, diagrams, designs, pictures, computer programs, data, specifications and reports (including drafts).

Goods: the goods (or any part of them) set out in the Order (including any goods which are supplied to replace defective goods).

Goods Specification: any specification for the Goods, including any related plans and drawings that is agreed in writing by Christie’s and the Supplier.

Intellectual Property Rights: all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

Order: Christie’s order for the supply of Goods and/or Services, as set out in Christie’s purchase order form or in Christie’s written acceptance of the Supplier's quotation, as the case may be.

Request by Date: the date specified as such in the Order.

Services: the services, including without limitation any Deliverables, to be provided by the Supplier under the Contract as set out in the Service Specification.

Service Specification: the description or specification for Services agreed in writing by Christie’s and the Supplier.

Supplier: the person or firm from whom Christie’s purchases the Goods and/or Services.

1.2 Construction

In these Conditions, the following rules apply:
(a) a person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality);
(b) a references to a party includes its personal representatives, successors or permitted assigns;
(c) a reference to a statute or statutory provision is a reference to such statute or statutory provision as amended or re-enacted. A reference to a statute or statutory provision includes any subordinate legislation made under that statute or statutory provision, as amended or re-enacted;
(d) any phrase introduced by the terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms; and
(e) a reference to writing or written includes faxes and (save in the case of notices given under clause 14.3) e-mails.

2. BASIS OF CONTRACT

2.1 The Order constitutes an offer by Christie’s to purchase Goods and/or Services from the Supplier in accordance with these Conditions.

2.2 The Order shall be deemed to be accepted on the earlier of:
(a) the Supplier issuing written acceptance of the Order; or
(b) any act by the Supplier consistent with fulfilling the Order,
at which point and on which date the Contract shall come into existence (Commencement Date).

2.3 These Conditions do not apply to any arrangement for the supply of Goods and/or Services under a Bespoke Contract. Subject to that qualification, these Conditions apply to the Contract to the exclusion of any other terms that the Supplier seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing. In consideration of Christie’s considering proposals from the Supplier for the supply of goods and/or services to Christie’s, the Supplier agrees that if it seeks to impose or incorporate any terms into the Contract which are inconsistent with these Conditions that proposal shall be deemed to be immediately rejected and replaced by a counter-proposal from Christie’s for the Supplier to perform the Contract upon these Conditions; and that this process shall be repeated as often as necessary to ensure that these Conditions are the last conditions which are proposed to apply to the Contract prior to its formation. Notwithstanding the foregoing, Christie’s may, acting by an authorised signatory and expressly referring to this clause 2.3, agree in writing to accept variations to these Conditions.

2.4 All of these Conditions shall apply to the supply of both Goods and Services except where the application to one or the other is specified.

3. SUPPLY OF GOODS

3.1 The Supplier warrants and represents that the Goods shall:
(a) correspond with their description and any applicable Goods Specification;
(b) be of satisfactory quality and fit for any purpose held out by the Supplier or made known to the Supplier by Christie’s, expressly or by implication, and in this respect Christie’s relies on the Supplier's skill and judgment;
(c) unless otherwise agreed in writing, be free from defects in design, materials and workmanship and remain so for 12 months (or such other period as shall be agreed in writing) after delivery; and
(d) comply with all applicable legal  and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Goods.

3.2 The Supplier warrants and represents that at all times it has and maintains all the licences, permissions, authorisations, consents and permits that it needs to carry out its obligations under the Contract in respect of the Goods.

3.3 Christie’s shall have the right to inspect and test the Goods at any time before delivery.

3.4 If following such inspection or testing Christie’s considers that the Goods do not conform or are unlikely to comply with the Supplier's undertakings at clause 3.1, Christie’s shall inform the Supplier and the Supplier shall immediately take such remedial action as is necessary to ensure compliance.

3.5 Notwithstanding any such inspection or testing, the Supplier shall remain fully responsible for the Goods and any such inspection or testing shall not reduce or otherwise affect the Supplier's obligations under the Contract, and Christie’s shall have the right to conduct further inspections and tests after the Supplier has carried out its remedial actions.

4. DELIVERY OF GOODS

4.1 The Supplier warrants and represents that:
(a) the Goods are properly packed and secured in such manner as to enable them to reach their destination in good condition;
(b) each delivery of the Goods is accompanied by a delivery note which shows the date of the Order, the Order number (if any), the type and quantity of the Goods (including the code number of the Goods (where applicable)), special storage instructions (if any) and, if the Goods are being delivered by instalments, the outstanding balance of Goods remaining to be delivered; and
(c) if the Supplier requires Christie’s to return any packaging material for the Goods to the Supplier, that fact is clearly stated on the delivery note. Any such packaging material shall only be returned to the Supplier at the cost of the Supplier.

4.2 The Supplier shall deliver the Goods:
(a) on or before the Request by Date or, if no such date is specified, then within 14 days of the date of the Order, or on such other date as Christie’s shall notify to the Supplier in writing;
(b) to Christie’s premises as set out in the Order or as instructed by Christie’s before delivery (Delivery Location); and
(c) during Christie’s normal hours of business on a Business Day, or as instructed by Christie’s.

4.3 Delivery of the Goods shall be completed on the completion of unloading of the Goods at the Delivery Location.

4.4 If the Supplier:
(a) delivers less than 95 per cent of the quantity of Goods ordered, Christie’s may reject all of the Goods; or
(b) delivers more than 105 per cent of the quantity of Goods ordered, Christie’s may at its sole discretion reject all of the Goods or the excess Goods,
and any rejected Goods shall be returnable at the Supplier's risk and expense. If the Supplier delivers more or less than the quantity of Goods ordered, and Christie’s accepts the delivery, a pro rata adjustment at the unit price applicable to the correct quantity of the Goods shall be made to the invoice for the Goods.

4.5 Christie’s shall have fourteen (14) days after receipt of the Goods to either (i) accept the Goods or (ii) provide notice to the Supplier that it rejects the Goods because it fails to satisfy the requirements of the applicable Purchase Order. If Christie’s rejects the Goods, the Supplier has five (5) days upon receiving notice of such rejection to deliver the corrected Goods.

4.6 The Supplier shall not deliver the Goods in instalments without Christie’s prior written consent. Where it is agreed that the Goods are delivered by instalments, they may be invoiced and paid for separately. However, failure by the Supplier to deliver any one instalment on time or at all or any defect in an instalment shall entitle Christie’s to the remedies set out in clause 6.1.

4.7 Title and risk in the Goods shall pass to Christie’s on proper completion of delivery in accordance with these conditions.

5. SUPPLY OF SERVICES

5.1 The Supplier shall from the Commencement Date or, if so specified, from the Request by Date and for the duration of this Contract provide the Services to Christie’s in accordance with the terms of the Contract.

5.2 The Supplier shall meet any performance dates for the Services specified in the Order or notified to the Supplier by Christie’s.

5.3 In providing the Services, the Supplier warrants and represents that:
(a) it shall co-operate with Christie’s in all matters relating to the Services, and comply with all instructions of Christie’s;
(b) it shall perform the Services with the best care, skill and diligence in accordance with best practice in the Supplier's industry, profession or trade;
(c) it shall use personnel who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier's obligations are fulfilled in accordance with this Contract;
(d) it shall ensure that the Services and Deliverables will conform with all descriptions and specifications set out in the Service Specification, and that the Deliverables shall be fit for any purpose expressly or impliedly made known to the Supplier by Christie’s;
(e) it shall provide all equipment, tools and vehicles and such other items as are required to provide the Services;
(f) it shall use the best quality goods, materials, standards and techniques, and ensure that the Deliverables, and all goods and materials supplied and used in the Services or transferred to Christie’s, will be free from defects in workmanship, installation and design;
(g) its employees, agents, contractors and representatives are fully aware of and understand the provisions of global anti-bribery and anti-corruption legislation including but not limited to the UK Bribery Act 2010, the US Foreign Corrupt Practices Act and any applicable anti-bribery provisions of a Territory (collectively the “Anti-Bribery Provisions”) and that it has in place robust and adequate internal procedures (including but not limited to appropriate policies, approval processes, training and monitoring) to ensure that its employees, agents, contractors and representatives comply with the Anti-Bribery Provisions when performing the Services;
(h) it will promptly notify Christie’s in writing if (i) it becomes aware of any bribe, facilitation payment or other improper advantage made or offered by its employees, agents, contractors or representatives on Christie’s behalf or for Christie’s benefit; or (ii) it or its employees, agents, contractors or representatives become the subject of any investigation, inquiry or enforcement proceedings by any governmental, administrative or regulatory body regarding any offence or alleged offence under the Anti-Bribery Provisions, or any such investigation is threatened or pending. In addition, Supplier agrees to indemnify Christie’s against any losses, liabilities, damages, costs (including but not limited to legal fees) and expenses incurred as a result of any bribe or other improper payment made by it, its employees, agents, contractors or representatives;
(i) it has in place robust and adequate internal procedures (including but not limited to appropriate policies, approval processes, training and monitoring) to ensure that slavery or human trafficking is not taking place in any part of its business and it will promptly notify Christie’s in writing if it or its employees, agents, contractors or representatives become the subject of any investigation, inquiry or enforcement proceedings by any governmental, administrative or regulatory body regarding any offence or alleged offence under the Modern Slavery Act 2015, or any such investigation is threatened or pending or becomes aware of any slavery and human trafficking taking place in any part of its business;
(j) it shall obtain and at all times maintain all necessary licences and consents, and comply with all other applicable laws and regulations;
(k) it shall observe all health and safety rules and regulations and any other security requirements that apply at any of Christie’s premises;
(l) it shall hold all materials, equipment and tools, drawings, specifications and data supplied by Christie’s to the Supplier (Christie’s Materials) in safe custody at its own risk, maintain Christie’s Materials in good condition until returned to Christie’s, and not dispose or use Christie’s Materials other than in accordance with Christie’s written instructions or authorisation; and
(m) it shall not do or omit to do anything which may cause Christie’s to lose any licence, authority, consent or permission upon which it relies for the purposes of conducting its business, and the Supplier acknowledges that Christie’s may rely or act on the Services.

6. CHRISTIE’S REMEDIES

6.1 If the Supplier fails to deliver the Goods and/or perform the Services by the applicable date, Christie’s shall, without limiting its other rights or remedies, have one or more of the following rights:
(a) to terminate the Contract with immediate effect by giving written notice to the Supplier;
(b) to refuse to accept any subsequent performance of the Services and/or delivery of the Goods which the Supplier attempts to make;
(c) to recover from the Supplier any costs incurred by Christie’s in obtaining substitute goods and/or services from a third party;
(d) where Christie’s has paid in advance for Services that have not been provided by the Supplier and/or Goods which have not been delivered by the Supplier, to have such sums refunded by the Supplier; and
(e) to claim damages for any additional costs, loss or expenses incurred by Christie’s which are in any way attributable to the Supplier's failure to meet such dates.

6.2 If the Goods are not delivered by the applicable date, Christie’s may, at its option, claim or deduct 1.5 per cent of the price of the Goods for each week's delay in delivery by way of liquidated damages, up to a maximum of 10% per cent of the total price of the Goods. If Christie’s exercises its rights under this clause 6.2 it shall not be entitled to the remedies set out in clause 6.1(c) and (e) in respect of the Goods' late delivery but its election to receive such payments shall otherwise be without prejudice to the exercise of its rights under clause 6.1.

6.3 If the Supplier has delivered Goods that do not comply with the undertakings set out in clause 3.1, then, without limiting its other rights or remedies, Christie’s shall be entitled to exercise any one or more of the following rights, whether or not it has accepted the Goods:
(a) to reject the Goods (in whole or in part) whether or not title has passed and to return them to the Supplier at the Supplier's own risk and expense;
(b) to terminate the Contract with immediate effect by giving written notice to the Supplier;
(c) to require the Supplier to repair or replace the rejected Goods, or to provide a full refund of the price of the rejected Goods (if paid);
(d) to refuse to accept any subsequent delivery of the Goods which the Supplier attempts to make;
(e) to recover from the Supplier any expenditure incurred by Christie’s in obtaining substitute goods from a third party; and
(f) to claim damages for any additional costs, loss or expenses incurred by Christie’s arising from the Supplier's failure to supply Goods in accordance with clause 3.1.

6.4 These Conditions shall extend to any substituted or remedial services and/or repaired or replacement goods supplied by the Supplier.

6.5 Christie’s rights under this Contract are in addition to its rights and remedies implied by law.

7. CHRISTIE’S OBLIGATIONS

Christie’s shall:
(a) provide the Supplier with reasonable access at reasonable times to Christie’s premises for the purpose of providing the Services; and
(b) provide such information as Christie’s considers reasonably necessary for the purpose of enabling the Supplier to provide the Services.

8. CHARGES AND PAYMENT

8.1 The price for the Goods:
(a) shall be the price set out in the Order, or if no price is quoted, the price set out in the Supplier's published price list in force at the Commencement Date; and
(b) shall be inclusive of the costs of packaging, insurance and carriage of the Goods, unless otherwise agreed in writing by Christie’s. No extra charges shall be effective unless agreed in writing and signed by Christie’s.
8.2 The charges for the Services shall be set out in the Order, and shall be the full and exclusive remuneration of the Supplier in respect of the performance of the Services. Unless otherwise agreed in writing by Christie’s, the charges shall include every cost and expense of the Supplier directly or indirectly incurred in connection with the performance of the Services.
8.3 In respect of Goods, the Supplier shall invoice Christie’s on or at any time after completion of delivery. In respect of Services, the Supplier shall invoice Christie’s on completion of the Services. Each invoice shall include such supporting information required by Christie’s to verify the accuracy of the invoice, including but not limited to the relevant purchase order number.
8.4 In consideration of the supply of Goods and/or Services by the Supplier, Christie’s shall pay the invoiced amounts within 30 days of the date of a correctly rendered invoice to a bank account nominated in writing by the Supplier.
8.5 All amounts payable by Christie’s under the Contract are exclusive of amounts in respect of value added tax chargeable from time to time (VAT). Where any taxable supply for VAT purposes is made under the Contract by the Supplier to Christie’s, Christie’s shall, on receipt of a valid VAT invoice from the Supplier, pay to the Supplier such additional amounts in respect of VAT as are chargeable on the supply of the Goods and/or Services at the same time as payment is due for the supply of the Goods and/or Services.
8.6 The Supplier shall maintain complete and accurate records of the time spent and materials used by the Supplier in providing the Services, and the Supplier shall allow Christie’s to inspect such records at all reasonable times on request.
8.7 Christie’s may, without limiting its other rights or remedies, set off any amount owing to it by the Supplier against any amount payable by Christie’s to the Supplier under the Contract.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 In respect of the Goods and any goods that are transferred to Christie’s as part of the Services under this Contract, including without limitation the Deliverables or any part of them, the Supplier warrants that it has full clear and unencumbered title to all such items, and that at the date of delivery of such items to Christie’s, it will have full and unrestricted rights to sell and transfer all such items to Christie’s.

9.2 The Supplier assigns to Christie’s, with full title guarantee and free from all third party rights, all Intellectual Property Rights in the products of the Services, including for the avoidance of doubt the Deliverables.

9.3 The Supplier shall to the extent permitted by law obtain waivers of all moral rights in the products, including for the avoidance of doubt the Deliverables, of the Services to which any individual is now or may be at any future time entitled under the relevant Intellectual Property law in Switzerland or any similar provisions of law in any jurisdiction.

9.4 The Supplier shall, promptly at Christie’s request, do (or procure to be done) all such further acts and things and the execution of all such other documents as Christie’s may from time to time require for the purpose of securing for Christie’s the full benefit of the Contract, including all right, title and interest in and to the Intellectual Property Rights assigned to Christie’s in accordance with clause 9.2.

9.5 All Christie’s Materials are and shall remain the exclusive property of Christie’s.

10. INDEMNITY

10.1 The Supplier shall keep Christie’s indemnified in full against all costs, expenses, damages and losses (whether direct or indirect), including any interest, fines, legal and other professional fees and expenses awarded against or incurred or paid by Christie’s as a result of or in connection with:
(a) any claim made against Christie’s by a third party for death, personal injury or damage to property arising out of, or in connection with, defects in Goods, to the extent that the defect in the Goods is attributable to the acts or omissions of the Supplier, its employees, agents or subcontractors;
(b) any claim made against Christie’s by a third party arising out of, or in connection with, the supply of the Goods or Services, to the extent that such claim arises out of the breach, negligent performance or failure or delay in performance of the Contract by the Supplier, its employees, agents or subcontractors; and
(c) any claim made against Christie’s for actual or alleged infringement of a third party's Intellectual Property Rights arising out of, or in connection with, the manufacture, supply or use of the Goods, or receipt, use or supply of the Services.

10.2 For the duration of the Contract and for any applicable warranty period, the Supplier shall maintain in force, with a reputable insurance company, professional indemnity insurance, product liability insurance and public liability insurance to cover the liabilities that may arise under or in connection with the Contract and shall, on Christie’s request, produce both the insurance certificate giving details of cover and the receipt for the current year's premium in respect of each insurance.

10.3 This clause 10 shall survive termination of the Contract.

11. CONFIDENTIALITY

A party (Receiving Party) shall keep in strict confidence, and store securely, all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the Receiving Party by the other party (Disclosing Party), its employees, agents or subcontractors, and any other confidential information concerning the Disclosing Party's business or its products or its services which the Receiving Party may obtain. The Receiving Party shall restrict disclosure of such confidential information to such of its employees, agents or subcontractors as need to know it for the purpose of discharging the Receiving Party's obligations under the Contract, and shall ensure that such employees, agents or subcontractors are subject to obligations of confidentiality corresponding to those which bind the Receiving Party. This clause 11 shall survive termination of the Contract.

12. TERMINATION

12.1 Without limiting its other rights or remedies, Christie’s may terminate the Contract with immediate effect by giving written notice to the Supplier if:
(a) the Supplier commits a material or persistent breach of the Contract and (if such a breach is remediable) fails to remedy that breach within 30 days of receipt of notice in writing of the breach. For the avoidance of doubt, breach of sub-clauses 5.3(g)-(i) shall always be deemed a material breach incapable of remedy;
(b) the Supplier suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits inability to pay its debts or is deemed either unable to pay its debts or as having no reasonable prospect of so doing; or being a partnership has any partner to whom any of the foregoing apply;
(c) the Supplier commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors other than (where a company) for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier;
(d) a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of the Supplier (being a company) other than for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier;
(e) the Supplier (being an individual) is the subject of a bankruptcy petition order;
(f) a creditor or encumbrancer of the Supplier attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days;
(g) an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the Supplier (being a company);
(h) a floating charge holder over the assets of the Supplier (being a company) has become entitled to appoint or has appointed an administrative receiver;
(i) a person becomes entitled to appoint a receiver over the assets of the Supplier or a receiver is appointed over the assets of the Supplier;
(j) any event occurs, or proceeding is taken, with respect to the Supplier in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in clause 12.1(b) to clause 12.1(i) (inclusive);
(k) the Supplier suspends or threatens to suspend, or ceases or threatens to cease to carry on, all or a substantial part of its business; or
(l) the Supplier (being an individual) dies or, by reason of illness or incapacity (whether mental or physical), is incapable of managing his own affairs or becomes a patient under any mental health legislation.

12.2 Without limiting its other rights or remedies, Christie’s may terminate the Contract:
(a) in respect of the supply of Services, by giving the Supplier three months' written notice; and
(b) in respect of the supply of Goods, with immediate effect by giving written notice to the Supplier, in which case Christie’s shall pay the Supplier for Goods already delivered and accepted by Christie’s and (if Goods are in the course of being manufactured or adapted for Christie’s) fair and reasonable compensation for any work in progress on any other Goods at the date of termination; but such compensation shall not include loss of anticipated profits or any consequential loss.

12.3 In any of the circumstances in these Conditions in which Christie’s may terminate the Contract, Christie’s may instead terminate part of the Contract and the Contract shall continue in respect of the remaining supply.

13. CONSEQUENCES OF TERMINATION

On termination of the Contract or any part of it for any reason:
(a) where the Services are terminated, the Supplier shall (unless Christie’s directs the Supplier not to do so) immediately deliver to Christie’s all Deliverables, whether or not then complete; and shall return all Christie’s Materials. If the Supplier fails to do so, then Christie’s may without limiting its other rights or remedies enter the Supplier's premises and take possession of them. Until they have been returned or delivered, the Supplier shall be solely responsible for their safe keeping and will not use them for any purpose not connected with this Contract;
(b) the accrued rights and remedies of the parties as at termination shall not be affected, including the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination; and
(c) clauses which expressly or by implication have effect after termination shall continue in full force and effect.

14. GENERAL

14.1 Force majeure: Neither party shall be liable to the other as a result of any delay or failure to perform its obligations under the Contract if and to the extent such delay or failure is caused by an event or circumstance which is beyond the reasonable control of that party which by its nature could not have been foreseen by such a party or if it could have been foreseen was unavoidable. If such event or circumstances prevent the Supplier from supplying the Goods and/or Services for more than two weeks, Christie’s shall have the right, without limiting its other rights or remedies, to terminate this Contract with immediate effect by giving written notice to the Supplier.

14.2 Assignment and subcontracting:
(a) The Supplier shall not assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract without the prior written consent of Christie’s.
(b) Christie’s may at any time assign, transfer, charge, subcontract, or deal in any other manner with all or any of its rights under the Contract and may subcontract or delegate in any manner any or all of its obligations under the Contract to any third party or agent.

14.3 Notices:
(a) Any notice or other communication required to be given to a party under or in connection with this Contract shall be in writing and shall be delivered to the other party personally or sent by prepaid first-class post, recorded delivery or by commercial courier, at its registered office (if a company) or (in any other case) its principal place of business, or sent by fax to the other party's main fax number.
(b) Any notice or communication shall be deemed to have been duly received if delivered personally, when left at the address referred to above or, if sent by prepaid first-class post or recorded delivery, at 9.00 am on the second Business Day after posting, or if delivered by commercial courier, on the date and at the time that the courier's delivery receipt is signed, or if sent by fax, on the next Business Day after transmission.
(c) This clause 14.3 shall not apply to the service of any proceedings or other documents in any legal action. For the purposes of this clause, "writing" shall not include e-mails and for the avoidance of doubt notice given under this Contract shall not be validly served if sent by e-mail.

14.4 Waiver and cumulative remedies:
(a) A waiver of any right under the Contract is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising any right or remedy under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor preclude or restrict its further exercise. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
(b) Unless specifically provided otherwise, rights arising under the Contract are cumulative and do not exclude rights provided by law.

14.5 Severance:
(a) If a court or any other competent authority finds that any provision (or part of any provision) of the Contract is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Contract shall not be affected.
(b) If any invalid, unenforceable or illegal provision of the Contract would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

14.6 No partnership: Nothing in the Contract is intended to, or shall be deemed to, constitute a partnership or joint venture of any kind between any of the parties, nor constitute any party the agent of another party for any purpose. No party shall have authority to act as agent for, or to bind, the other party in any way.

14.7 No publicity: The Supplier shall not use the name or marks, refer to, or identify Christie’s or its affiliates as a customer in publicity releases, promotional or marketing materials, announcements, customer listings, testimonials, or advertising, without prior written consent from Christie’s.

14.8 Third parties: A person who is not a party to the Contract shall not have any rights under or in connection with it.

14.9 Variation: Any variation, including any additional terms and conditions, to the Contract shall only be binding when agreed in writing and signed by Christie’s.

14.10 Governing law and jurisdiction: The Contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the laws of Switzerland, and the parties irrevocably submit to the exclusive jurisdiction of the courts of Geneva.

Algemene voorwaarden voor de levering van goederen en diensten aan Christie's

onderdeel 1: Contracten onderhevig aan de Nederlandse wetgeving

De algemene voorwaarden in dit onderdeel 1 zijn van toepassing indien de Order waarin de onderhavige algemene voorwaarden zij-n opgenomen is geplaatst door Christie's Amsterdam B.V. of door een andere dochtermaatschappij van Christie's International plc die in Nederland is opgericht; of in enig ander geval waarbij de Order bepaalt dat het contract moet worden onderworpen aan het recht van Nederland.

1. UITLEG

1.1 Definities

In de onderhavige voorwaarden zijn de navolgende definities van toepassing:

Individueel Contract: elk contract voor de levering van Goederen en/of Diensten aan Christie's waarbij de algemene voorwaarden van dat contract afzonderlijk zijn onderhandeld.

Werkdag een dag (niet zijnde een zaterdag, zondag of feestdag) waarop de banken in Londen open zijn.

Christie’s: Christie‘s Amsterdam B.V. ingeschreven in Nederland onder bedrijfsregistratienummer 33137893 (of een zodanige andere dochtermaatschappij van Christie's International plc waaraan op grond van de Order Goederen en/of Diensten moeten worden geleverd).

Christie’s Materiaal: heeft de betekenis die daaraan wordt gegeven in artikel 5.3(i).

Ingangsdatum: heeft de betekenis die daaraan wordt gegeven in artikel 2.2.

Voorwaarden: de onderhavige algemene voorwaarden zoals deze van tijd tot tijd volgens artikel 14.8 worden gewijzigd.

Contract : het contract tussen Christie's en de Leverancier voor de levering van Goederen en/of Diensten volgens de onderhavige Voorwaarden.

Leveranties: alle door de Leverancier of haar vertegenwoordigers, contractanten en werknemers ontwikkelde documenten, producten en materialen als onderdeel van of met betrekking tot de Diensten in elke vorm of media ook, waaronder zonder enige beperking tekeningen, kaarten, plattegronden, schema's, ontwerpen, afbeeldingen, computerprogramma's, data, specificaties en verslagen (met inbegrip van ontwerpen).

Goederen: de in de Order omschreven goederen (of enig onderdeel ervan) (met inbegrip van goederen die zijn geleverd ter vervanging van gebrekkige goederen).

Goederenspecificatie: een specificatie van de Goederen, waaronder eventuele daarop betrekking hebbende plattegronden en tekeningen, die schriftelijk door Christie's en de Leverancier zijn overeengekomen.

Intellectuele Eigendomsrechten: alle octrooien, rechten op uitvindingen, gebruiksmodellen, auteursrecht en daarmee verbonden rechten, handelsmerken, dienstmerken, handels-, bedrijfs- en domeinnamen, rechten  op presentatie en aanbiedingsvormen, rechten op goodwill of om te procederen wegens misbruik van niet-geregistreerde handelsmerken, rechten wegens oneerlijke mededinging, rechten op ontwerpen, rechten op computer software, databankrechten, topografierechten, rechten op vertrouwelijke informatie (met inbegrip van knowhow en handelsgeheimen) en eventuele andere intellectuele eigendomsrechten, in elk geval ongeacht of deze al of niet zijn geregistreerd en met inbegrip van alle applicaties voor en vernieuwingen of verlengingen van dergelijke rechten, en alle soortgelijke of gelijkwaardige rechten of beschermingsvormen overal ter wereld.

Order: De bestelling van Christie's voor de levering van Goederen en/of Diensten, zoals uiteengezet in het bestelformulier van Christie's of in de schriftelijke aanvaarding door Christie's van de offerte van de Leverancier, afhankelijk van het geval.

Verzochte Datum: de datum die als zodanig in de Order is opgegeven.

Diensten: de diensten, waaronder zonder enige beperking de Leveranties die door de Leverancier op grond van het Contract moeten worden verleend zoals uiteengezet in the Dienstspecificatie.

Dienstspecificatie: de omschrijving of specificatie voor Diensten die door Christie's en de Leverancier schriftelijke zijn overeengekomen.

Leverancier: de persoon of firma  van wie Christie's de Goederen en/of Diensten betrekt.

1.2 Structuur

In de onderhavige Voorwaarden zijn de navolgende regels van toepassing:
(a) een persoon omvat een natuurlijk persoon, een rechtspersoon of een lichaam zonder rechtspersoonlijkheid (al of niet met een afzonderlijke rechtspersoonlijkheid);
(b) een verwijzingen naar een partij omvat zijn persoonlijke vertegenwoordigers, rechtsopvolgers of toegestane rechtverkrijgenden;
(c) een verwijzing naar een wet of wettelijke bepaling is een verwijzing naar een dergelijke wet of wettelijke bepaling zoals gewijzigd of opnieuw wettelijk bepaald. Een verwijzing naar een wet of wettelijke bepaling omvat elke onder die wet of wettelijke bepaling vastgestelde lagere regelgeving, zoals  gewijzigd of opnieuw wettelijk vastgesteld;
(d) elke zin die wordt ingeleid met de termen met inbegrip van, omvatten, met name of een soortgelijke uitdrukking moet worden uitgelegd als illustratief en mag de zin van de aan die termen voorafgaande woorden niet beperken; en
(e) een verwijzing naar schrijven of schriftelijk omvat faxen en (behalve ingeval van kennisgevingen op grond van artikel 14.3) e-mails.

2. basis van het contract

2.1 De Order vormt een aanbod van Christie's voor de koop van Goederen en/of Diensten van de Leverancier op grond van de onderhavige Voorwaarden.

2.2 De Order wordt geacht te zijn aanvaard op het moment dat:
(a) de Leverancier een schriftelijke aanvaarding van de Order afgeeft; of
(b) de Leverancier een handeling verricht waaruit voldoening aan de Order blijkt,
welke zich van deze twee het eerst voordoet, op welke moment en op welke datum het Contract zal zijn gevormd (Ingangsdatum).

2.3 De onderhavige Voorwaarden zijn niet van toepassing op de levering van Goederen en/of Diensten op grond van een Individueel Contract. Behoudens deze kwalificatie, zijn de onderhavige Voorwaarden van toepassing op het Contract met uitsluiting van elke andere voorwaarde die de Leverancier tracht op te leggen of daarin op te nemen, of die wordt verondersteld in het handelsverkeer, volgens het gebruik, in de praktijk of bij handelstransacties. Bij de overweging van Christie's van de voorstellen van de Leverancier voor de levering van goederen en/of diensten aan Christie's, komt de Leverancier overeen dat, indien zij tracht om enige bepalingen op te leggen of in het Contract op te nemen die strijdig zijn met de onderhavige Voorwaarden, dat voorstel wordt geacht onmiddellijk te zijn verworpen en te zijn vervangen door een tegenvoorstel van Christie's voor de Leverancier om het Contract op grond van de onderhavige Voorwaarden uit te voeren; en dat dit proces zo dikwijls zal worden herhaald als noodzakelijk is om ervoor te zorgen dat de onderhavige Voorwaarden de laatste voorwaarden zijn die worden voorgesteld op het Contract van toepassing te zijn voordat het Contract tot stand komt. Ondanks het voorgaande kan Christie's, via een gemachtigde ondertekenaar met uitdrukkelijke verwijzing naar dit artikel 2.3, schriftelijk akkoord gaan om afwijkingen van de onderhavige Voorwaarden te aanvaarden.

2.4 Al deze Voorwaarden zijn van toepassing op zowel de levering van Goederen als de Diensten, behalve waar toepassing alleen op de Goederen of alleen op Diensten is omschreven.

3. levering van goederen

3.1 De Leverancier garandeert en verklaart dat de Goederen:
(a) overeenkomen met hun omschrijving en eventuele toepasselijke Goederenspecificatie;
(b) voldoende kwalitatief en geschikt zijn voor het doel dat door de Leverancier is aangeven of door Christie's aan de Leverancier uitdrukkelijk of stilzwijgend is kenbaar gemaakt, en in dit opzicht gaat Christie’s af op de vaardigheid en beoordeling van de Leverancier;
(c) tenzij anderszins schriftelijk is overeengekomen, vrij van gebreken zijn met betrekking tot het ontwerp, de materialen en het vakmanschap en zo zullen blijven gedurende 12 maanden (of een zodanige andere periode als schriftelijke mocht worden overeengekomen) na de levering; en
(d) voldoen aan alle toepasselijke wettelijke en regelgevende vereisten met betrekking tot de vervaardiging, etikettering, verpakking, opslag, behandeling en levering van de Goederen.

3.2 De Leverancier dient er te allen tijde voor te zorgen dat zij alle licenties, instemmingen, machtigingen, toestemmingen en vergunningen in bezit heeft en zal blijven houden die zij nodig heeft om haar verplichtingen op grond van het Contract met betrekking tot de Goederen uit te voeren.

3.3 Christie's heeft het recht om de Goederen op elk moment voor de levering te inspecteren en te testen.

3.4 Indien Christie's na een dergelijke inspectie of test meent dat de Goederen niet voldoen aan of het onwaarschijnlijk is dat zij zullen voldoen aan de toezeggingen van de Leverancier op grond van artikel 3.1, zal Christie's de Leverancier daarvan op de hoogte stellen en de Leverancier dient terstond zodanige corrigerende maatregelen nemen als noodzakelijk zijn om de naleving te verzekeren.

3.5 Ondanks een dergelijke inspectie of test blijft de Leverancier volledig verantwoordelijk voor de Goederen en een dergelijke inspectie of test mag de verplichtingen van de Leverancier onder het Contract niet verminderen of anderszins aantasten, en Christie's zal gerechtigd zijn om nadere inspecties en tests te houden nadat de Leverancier haar corrigerende maatregelen heeft genomen.

4. levering van goederen

4.1 De Leverancier garandeert en verklaart dat:
(a) de Goederen naar behoren zijn verpakt en beveiligd op een zodanige wijze dat deze in goede staat hun bestemming kunnen bereiken;
(b) elke levering van Goederen wordt vergezeld van een afleveringsbon waarop het volgende is vermeld: de datum van de Order, het  (eventuele) ordernummer, de soort en hoeveelheid van de Goederen (met inbegrip van het codenummer van de Goederen (indien van toepassing)), (eventuele) speciale opslaginstructies en, indien de Goederen in deelleveringen worden afgeleverd, het openstaande saldo van Goederen dat nog moet worden geleverd; en
(c) indien de Leverancier verlangt dat Christie’s eventueel verpakkingsmateriaal voor de Goederen aan de Leverancier retourneert, dit feit duidelijk op de afleveringsbon staat. Dergelijk verpakkingsmateriaal wordt uitsluitend aan de Leverancier geretourneerd op kosten van de Leverancier.

4.2 De Leverancier moet de Goederen afleveren:
(a) op of vóór de Verzochte Datum of, ingeval een dergelijke datum niet is opgegeven, binnen 14 dagen na de datum van de Order, of op een zodanige andere datum als Christie’s schriftelijk aan de Leverancier zal opgeven;
(b) op het adres van Christie’s dat op de Order staat of zoals door Christie's opgedragen vóór de levering (Leveringsplaats); en
(c) tijdens de gewone kantooruren van Christie’s op een Werkdag, of zoals opgedragen door Christie’s.

4.3 De levering van de Goederen wordt voltooid bij afronding van het lossen van de Goederen op de Leveringsplaats

4.4 Indien de Leverancier:
(a) minder dan 95 procent van de bestelde hoeveelheid Goederen aflevert, kan Christie’s alle Goederen weigeren; of
(b) meer dan 105 procent van de bestelde hoeveelheid Goederen aflevert, kan Christie’s naar eigen goeddunken alle Goederen of het teveel geleverde weigeren,
en eventuele geweigerde Goederen kunnen voor rekening en risico van de Leverancier worden geretourneerd. Indien de Leverancier meer of minder levert dan de bestelde hoeveelheid Goederen en Christie's aanvaardt de levering, zal een proportionele wijziging van de op de juiste hoeveelheid Goederen toepasselijke eenheidsprijs op de factuur worden aangebracht voor de Goederen.

4.5 Christie's heeft veertien (14) dagen na ontvangst van de Goederen de tijd om ofwel (i) de Goederen te aanvaarden of (ii) een bericht aan de Leverancier te sturen dat zij de Goederen weigert omdat ze niet voldoen aan de eisen van de toepasselijke kooporder. Indien Christie's de Goederen weigert heeft de Leverancier vijf (5) dagen na het bericht van een dergelijke weigering de tijd om de juiste Goederen af te leveren.

4.6 De Leverancier mag de Goederen niet zonder de vooraf door Christie's gegeven schriftelijke toestemming in delen leveren. Indien het is overeengekomen dat de Goederen in delen worden geleverd, kunnen zij afzonderlijk worden gefactureerd en betaald. Een tekortkoming door de Leverancier met betrekking tot een deellevering door de te late levering ervan of helemaal geen levering of een gebrek in een deellevering geeft Christie's echter het recht op de in artikel 6.1 omschreven rechtsmiddelen.

4.7 Het eigendom en risico van de Goederen zal op Christie's overgaan bij behoorlijke voltooiing van de levering overeenkomstig de onderhavige voorwaarden.

5. levering van diensten

5.1 De Leverancier zal vanaf de Ingangsdatum of, indien als zodanig opgegeven, vanaf de Verzochte Datum en gedurende de duur van dit Contract de Diensten aan Christie's leveren overeenkomstig de voorwaarden van het Contract.

5.2 De Leverancier zal voldoen aan alle prestatiedatums voor de Diensten omschreven in de Order of door Christie's aan de Leverancier opgegeven.

5.3 Bij het leveren van de Diensten garandeert en verklaart de Leverancier:
(a) dat zij in alle kwesties met betrekking tot de Diensten met Christie’s zal samenwerken en alle aanwijzingen van Christie’s zal opvolgen;
(b) dat zij de Diensten zal leveren met de beste zorg, vaardigheid en toewijding volgens de 'best practice' in de sector, het beroep of de bedrijfsactiviteiten van de Leverancier;
(c) dat zij van personeel gebruik zal maken, die voldoende vakkundig en ervaren zijn om de hen opgedragen taken uit te voeren, en in voldoende aantal om te verzekeren dat e aan verplichtingen van de Leverancier wordt voldaan volgens dit Contract;
(d) dat zij ervoor zal zorgen dat de Diensten en Leveranties zullen voldoen aan alle omschrijvingen en specificaties die in de Dienstspecificatie staan en dat de Leveranties geschikt zullen zijn voor enig doel dat uitdrukkelijk of stilzwijgend door Christie's aan de Leverancier kenbaar is gemaakt;
(e) dat zij alle apparatuur, gereedschap en voertuigen ter beschikking zal stellen alsmede zodanige andere voorwerpen die nodig zijn om de Diensten te verlenen;
(f) dat zij de beste kwaliteitsgoederen, materialen, normen en technieken zal gebruiken en ervoor zal zorgen dat de Leveranties, en alle goederen en materialen die voor de Diensten zijn geleverd en gebruikt of aan Christie's zijn overgedragen, vrij zijn van alle gebreken in vakmanschap, installatie en ontwerp;
(g) dat haar werknemers, tussenpersonen, aannemers en vertegenwoordigers zich volledig bewust zijn van de bepalingen van de wereldwijde anti-omkoping en anti-corruptie wetgeving, inclusief maar niet beperkt tot de “UK Bribery Act 2010”, de “US Foreign Corrupt Practices Act” en van toepassing zijnde anti-omkoping bepalingen van een “Territory” (gezamenlijk de "anti-omkoping bepalingen") en deze ook allemaal begrijpen; en dat zij robuuste en adequate interne procedures hanteert (met inbegrip van, maar niet beperkt tot een passend beleid, goedkeuringsprocessen, training en monitoring) om ervoor te zorgen dat haar werknemers, tussenpersonen, aannemers en vertegenwoordigers voldoen aan de anti-omkoping bepalingen bij het uitvoeren van de Diensten;
(h) dat zij onmiddellijk Christie’s schriftelijk op de hoogte zal brengen indien (i) zij bewust wordt van enige steekpenningen, smeergeld of andere ongepaste voordelen gemaakt of aangeboden door haar werknemers, tussenpersonen, aannemers of vertegenwoordigers namens Christie's of ten behoeve van Christie's; of (ii) indien zij, of haar werknemers, tussenpersonen, aannemers of vertegenwoordigers het onderwerp worden van enig onderzoek of tenuitvoerleggingsprocedure door een regerings-, administratieve of regelgevende instantie met betrekking tot een overtreding of vermeende overtreding van de anti-omkoping bepalingen, of als een dergelijk onderzoek dreigt of hangende is. Daarnaast stemt de Leverancier ermee in Christie's te vergoeden voor eventuele verliezen, aansprakelijkheden, schade, kosten (inclusief maar niet beperkt tot juridische kosten) en kosten als gevolg van enige steekpenningen of andere oneigenlijke betalingen door haar, haar werknemers, tussenpersonen, aannemers of vertegenwoordigers;
(i) dat zij robuuste en adequate interne procedures hanteert (met inbegrip van, maar niet beperkt tot een passend beleid, goedkeuringsprocessen, training en monitoring) om ervoor te zorgen dat slavernij of mensenhandel nergens plaatsvindt binnen haar activiteiten en dat zij onmiddellijk Christie’s schriftelijk op de hoogte zal stellen indien zij of haar werknemers, tussenpersonen, aannemers en vertegenwoordigers het onderwerp worden van enig onderzoek of tenuitvoerleggingsprocedure door een regerings-, administratieve of regelgevende instantie met betrekking tot een overtreding of vermeende overtreding van de “Modern Slavery Act 2015”, of als een dergelijk onderzoek dreigt of hangende is, of als zij bewust wordt van enige slavernij of mensenhandel die plaats zou vinden binnen haar activiteiten;
(j) dat zij niet iets zal doen of nalaten waardoor Christie’s een licentie, machtiging, toestemming of instemming zou kunnen verliezen waarvan zij afhankelijk is ten behoeve van haar bedrijfsactiviteiten, en de Leverancier erkent dat Christie’s op de Diensten mag afgaan en op grond daarvan actie kan ondernemen.

6. rechtsmiddelen van Christie’s

6.1 Indien de Leverancier op de toepasselijke datum niet de Goederen levert en/of de Diensten verleent, zal Christie's zonder beperking van haar overige rechten en rechtsmiddelen een of meerdere van de navolgende rechten hebben om:
(a) het Contract met onmiddellijke ingang te beëindigen door een opzegging aan de Leverancier;
(b) te weigeren een daaropvolgende uitvoering van de Diensten en/of levering van de Goederen te aanvaarden, die de Leverancier probeert uit te voeren of te leveren;
(c) op de Leverancier eventuele kosten te verhalen die Christie’s heeft gemaakt ter verkrijging van vervangende goederen en/of diensten van een derde;
(d) indien Christie’s vooraf heeft betaald voor de Diensten die niet door de Leverancier zijn verleend en/of Goederen die niet door de Leverancier zijn geleverd, deze bedragen door de Leverancier vergoed te krijgen; en
(e) schadevergoeding te vorderen voor eventuele bijkomende kosten, schade of uitgaven die Christie’s heeft gemaakt die op enige wijze zijn toe te schrijven aan het nalaten van de Leverancier om dergelijke toepasselijke datums te behalen.

6.2 Indien de Goederen niet op de toepasselijke datum zijn geleverd, kan Christie's, naar eigen keuze bij wijze van forfaitaire schadevergoeding 1,5 procent van de prijs van de Goederen vorderen of in mindering brengen voor elke week waarin de levering niet heeft plaatsgevonden tot een maximum van 10% procent van de totaalprijs van de Goederen. Indien Christie's haar rechten op grond van dit artikel 6.2 uitoefent, zal zij geen recht hebben op de rechtsmiddelen die in artikel 6.1(c) en (e) zijn omschreven met betrekking tot de te late levering van de Goederen maar haar keuze om dergelijke bedragen te ontvangen zal anderszins geen afbreuk doen aan de uitoefening van haar rechten op grond van artikel 6.1.

6.3 Indien de Leverancier goederen heeft geleverd die niet voldoen aan de toezeggingen die in artikel 3.1 zijn omschreven, dan zal Christie's, zonder haar overige rechten of rechtsmiddelen te beperken, het recht hebben om een of meer van de navolgende rechten uit te oefenen, afgezien of zij al of niet de Goederen heeft aanvaard:
(a) de Goederen (geheel of gedeeltelijk) te weigeren, afgezien of het eigendom al of niet is overgegaan en om ze op eigen kosten en risico van de Leverancier aan de Leverancier te retourneren;
(b) het Contract met onmiddellijke ingang te beëindigen door opzegging aan de Leverancier;
(c) van de Leverancier te verlangen om de geweigerde Goederen te repareren of te vervangen, of om een volledige restitutie te geven van de prijs van de geweigerde Goederen (indien reeds voldaan);
(d) weigeren een daaropvolgende levering van de Goederen te aanvaarden die de Leverancier tracht te leveren;
(e) van de Leverancier vergoed te krijgen alle door Christie's gemaakte kosten in verband met het verkrijgen van vervangende goederen van een derde; en
(f) schadevergoeding te vorderen voor eventuele bijkomende kosten, schade of uitgaven die Christie’s heeft gemaakt en die zijn ontstaan uit het nalaten van de Leverancier om Goederen te leveren volgens artikel 3.1.

6.4 Deze Voorwaarden zijn van toepassing op eventuele vervangende of herstellende diensten en/of gerepareerde of vervangende goederen die door de Leverancier worden geleverd.

6.5 De rechten van Christie's op grond van dit Contract zijn aanvullend op haar rechten en rechtsmiddelen die uit het recht voortvloeien.

7. VERPLICHTINGEN VAN CHRISTIE'S

Christie’s dient:
(a) de Leverancier op redelijke tijdstippen voldoende toegang te verschaffen tot het gebouw van Christie’s ten behoeve van het verlenen van de Diensten; en
(b) zodanige informatie te verschaffen als Christie’s redelijk mocht achten om de Leverancier in staat te stellen de Diensten te verlenen.

8. KOSTEN EN BETALING

8.1 De prijs voor de Goederen:
(a) bestaat uit de prijs in de Order, of als geen prijs is opgegeven, de prijs uiteengezet in the gepubliceerde prijslijst van de Leverancier die van kracht is op de Ingangsdatum; en
(b) is inclusief de kosten van verpakking, verzekering en vervoer van de Goederen, tenzij anderszins schriftelijk door Christie's is overeengekomen. Er zullen geen extra kosten van toepassing zijn tenzij dit schriftelijk is overeengekomen en door Christie's is ondertekend.

8.2 De kosten voor de Diensten worden in de Order uiteengezet en vormen de volledige en exclusieve vergoeding voor de Leverancier met betrekking tot het verlenen van de Diensten. Tenzij anderszins schriftelijk door Christie's is overeengekomen, zijn bij de kosten inbegrepen alle kosten en uitgaven van de Leverancier die rechtstreeks of indirect zijn gemaakt in verband met het verlenen van de Diensten.

8.3 Met betrekking tot Goederen zal de Leverancier Christie's factureren bij of op enig moment na de voltooiing van de levering. Met betrekking tot Diensten zal de Leverancier Christie's factureren bij voltooiing van de Diensten. Elke factuur zal zodanige door Christie's verlangde ondersteunende informatie inhouden om de juistheid van de factuur te controleren, met inbegrip van maar niet beperkt tot het relevante inkoopordernummer.

8.4 Als tegenprestatie voor de levering van de Goederen en/of de Diensten door de Leverancier, zal Christie's de factuurbedragen voldoen binnen 30 dagen na de datum van een juist weergegeven factuur op een bankrekening die schriftelijk door de Leverancier is opgegeven.

8.5 Alle door Christie's te betalen bedragen op grond van het Contract zijn exclusief bedragen inzake belasting over toegevoegde waarde die van tijd tot tijd verschuldigd zijn (BTW).  Indien eventuele voor BTW belastbare levering door de Leverancier aan Christie's op grond van het Contract heeft plaatsgevonden, zal Christie's, bij ontvangst van een geldige BTW factuur van de Leverancier, aan de Leverancier zodanige extra bedragen met betrekking tot VAT betalen als verschuldigd zijn over de levering van de Goederen en/of Diensten, zulks op hetzelfde moment als betaling voor de levering van de Goederen en/of Diensten verschuldigd is.

8.6 De Leverancier zal volledige en nauwkeurige administratie bijhouden over de tijd die in verband met het verlenen van de Diensten is besteed en de materialen die door de Leverancier zijn gebruikt en de Leverancier zal Christie's toestaan om op alle redelijke tijdstippen dergelijke administratie op verzoek in te zien.

8.7 Christie's kan zonder haar overige rechten of rechtsmiddelen te beperken enig bedrag dat door de Leverancier aan haar schuldig is verrekenen met enig bedrag dat door Christie's aan de Leverancier op grond van het Contract verschuldigd is.

9. intellectuele eigendomsrechten

9.1 Met betrekking tot de Goederen en alle goederen die aan Christie's als onderdeel van de Diensten op grond van dit Contract worden overgedragen, waaronder zonder enige beperking de Leveranties of enig deel ervan, garandeert de Leverancier dat zij de volledige en onbezwaarde eigendom van dergelijke artikelen heeft en dat zij op de leveringsdatum van dergelijke artikelen aan Christie's, het volledige en onbeperkte recht zal hebben om dergelijke goederen aan Christie's te verkopen en over te dragen.

9.2 De Leverancier draagt met volledige eigendomsgarantie en vrij van alle rechten van derden aan Christie's alle Intellectuele Eigendomsrechten op de producten van de Diensten over, zulks ter voorkoming van eventuele twijfel met inbegrip van de Leveranties.

9.3 Voorzover dit rechtens is toegestaan zal de Leverancier afstandsverklaringen verkrijgen van alle morele rechten in de producten, ter voorkoming van enige twijfel met inbegrip van de Leveranties, van de Diensten waarop iemand thans of in de toekomst recht zou hebben op grond van het toepasselijke recht inzake Intellectuele Eigendom in Nederland, of elke soortgelijke rechtsbepalingen in enige jurisdictie.

9.4 De Leverancier zal onmiddellijk op verzoek van Christie's al zodanige nadere handelingen verrichten en dingen doen en al zodanige andere documenten als Christie's op gezette tijden mocht verlangen effectueren (of laten verrichten, doen of effectueren) om zodoende het volledige voordeel van het Contract voor Christie's veilig te stellen, met inbegrip van het volledige recht, eigendomsrecht en belang in en op de volgens artikel 9.2 aan Christie's overgedragen Intellectuele Eigendomsrechten.

9.5 Alle Christie's Materialen zijn en blijven het exclusieve eigendom van Christie's.

10. VRIJWARING

10.1 De Leverancier zal Christie's volledig vrijwaren voor alle (directe of indirecte) kosten, uitgaven, schades en verliezen, met inbegrip van eventuele rente, boetes,  juridische en andere honoraria en kosten die worden opgelegd aan of gemaakt of betaald door Christie's als gevolg van of in verband met:
(a) elke door een derde tegen Christie’s ingestelde vordering wegens de dood, lichamelijk letsel of zaakschade ontstaan uit, of in verband met gebreken in Goederen, voorzover het gebrek in de Goederen is toe te schrijven aan het handelen of nalaten van de Leverancier, haar werknemers, tussenpersonen of onderaannemers;
(b) elke door een derde tegen Christie’s ingestelde vordering ontstaan uit of in verband met de levering van Goederen of Diensten voorzover een dergelijke vordering ontstaat uit de wanprestatie, nalatige prestatie of nalaten of uitstel in de uitvoering van het Contract door de Leverancier, haar werknemers, tussenpersonen of onderaannemers; en
(c) elke tegen Christie’s ingestelde vordering voor een feitelijke of gestelde inbreuk op de Intellectuele Eigendomsrechten van een derde ontstaan uit of in verband met de vervaardiging, levering of het gebruik van de Goederen, of de ontvangst, het gebruik of de leverlening van de Diensten.

10.2 de Leverancier dient voor de duur van het Contract en voor een eventuele toepasselijke garantietermijn bij een gerenommeerde verzekeringsmaatschappij een beroepsaansprakelijkheidsverzekering, productaansprakelijkheidsverzekering en een wettelijke aansprakelijkheidsverzekering in stand houden om de aansprakelijkheden te dekken die kunnen ontstaan uit of in verband met het Contract en dient op verzoek van Christie's zowel het verzekeringsbewijs met de bijzonderheden van de dekking als het betalingsbewijs van de premie van het lopende jaar met betrekking tot iedere verzekering over te leggen.

10.3 Dit artikel 10 blijft van kracht na beëindiging van het Contract.

11. vertrouwelijkheid

Een partij (Ontvangende Partij) dient alle technische of commerciële knowhow, specificaties, uitvindingen, processen of initiatieven van vertrouwelijke aard die door de andere partij (Onthullende Partij), haar werknemers, tussenpersonen of onderaannemers aan de Ontvangende Partij bekend zijn gemaakt en eventuele andere vertrouwelijke informatie met betrekking tot het bedrijf van de Onthullende Partij of haar producten of diensten die ter kennis van de Ontvangende Partij mochten komen, strikt vertrouwelijk te houden en veilig te bewaren. De Ontvangende Partij dient onthulling van dergelijke vertrouwelijke informatie aan zodanige van haar werknemers, tussenpersonen of onderaannemers beperkt te houden die daarover moeten beschikken ten behoeve van de voldoening van de verplichtingen van de Ontvangende Partij op grond van het Contract en dient ervoor te zorgen dat die werknemers, tussenpersonen of onderaannemers worden onderworpen aan geheimhoudingsverplichtingen die overeenkomen met die waaraan de Ontvangende Partij is gebonden.  Dit artikel 11 blijft van kracht na beëindiging van het Contract.

12. BEËINDIGING

12.1 Zonder beperking van haar overige rechten of rechtsmiddelen kan Christie's het Contract met onmiddellijke ingang beëindigen via een schriftelijke kennisgeving aan de Leverancier indien:
(a) de Leverancier wezenlijke of aanhoudende contractuele wanprestatie pleegt en (indien dergelijke wanprestatie kan worden hersteld) de Leverancier nalaat deze wanprestatie binnen 30 dagen na ontvangst van de schriftelijke kennisgeving van de wanprestatie te herstellen; Voor alle duidelijkheid, schending van sub-clausules 5,3 (g)-(i) zal altijd worden beschouwd als een wezenlijke schending die niet hersteld kan worden;
(b) de Leverancier betaling van haar schulden uitstelt of dreigt uit te stellen of niet in staat is haar schulden te voldoen wanneer ze verschuldigd worden of erkent dat zij niet in staat is haar schulden te betalen of wordt geacht ofwel om niet in staat te zijn of geen redelijk vooruitzicht te hebben om haar schulden te voldoen; of wanneer zij een vennootschap is, een vennoot heeft waarop een van het voorgaande van toepassing is;
(c) de Leverancier met alle of een categorie van haar crediteuren begint te onderhandelen met het oog op sanering van enige van haar schulden, of een voorstel doet voor een akkoord of regeling of een akkoord of regeling met haar crediteuren aangaat anders dan (indien het een onderneming betreft) voor het uitsluitende doel van een regeling voor een solvabele fusie van de Leverancier met een of meerdere andere ondernemingen of de solvabele reorganisatie van de Leverancier;
(d) een verzoekschrift is ingediend, een kennisgeving is gedaan, een besluit is genomen of een bevel is gegeven voor of in verband met de liquidatie van de Leverancier (zijnde een onderneming) anders dan voor het uitsluitende doel van een regeling voor een solvabele fusie van de Leverancier met een of meerdere andere ondernemingen of de solvabele reorganisatie van de Leverancier;
(e) de Leverancier (zijnde een natuurlijke persoon) het onderwerp is van een verzoekschrift voor diens faillissement;
(f) een crediteur of pand- of hypotheekhouder van de Leverancier beslag legt op of bezit neemt van het hele of gedeeltelijke vermogen van de Leverancier of een beslagprocedure, executie, gerechtelijke bewaargeving of ander soortgelijke procedure vordert, ten uitvoer legt of instelt en een dergelijk beslag of dergelijke procedure niet binnen 14 dagen is opgeheven;
(g) bij een gerecht een verzoekschrift is ingediend of een bevel is gegeven voor de benoeming van een curator of indien een kennisgeving is gedaan met het doel om een curator te benoemen of indien een curator voor de Leverancier (zijnde een onderneming) is benoemd.
(h) een houder van een vlottende zekerheidstelling op het vermogen van de Leverancier (zijnde een onderneming) het recht heeft gekregen om een bewindvoerder te benoemen of deze heeft benoemd;
(i) iemand het recht krijgt over het vermogen van de Leverancier een curator te benoemen of over het vermogen van de Leverancier een curator is benoemd;
(j) een gebeurtenis zich voordoet of een procedure wordt ingesteld tegen de Leverancier in enige jurisdictie waaronder de Leverancier valt die een effect heeft dat gelijkwaardig of vergelijkbaar is met een van de gebeurtenissen omschreven in artikel 12.1(b) tot en met artikel 12.1(i);
(k) de Leverancier tijdelijk staakt met alle of een aanzienlijk deel van haar bedrijfsactiviteiten of daarmee dreigt of met haar bedrijfsvoering is opgehouden of dreigt daarmee op te houden; of
(l) de Leverancier (zijnde een natuurlijke persoon) overlijdt of vanwege ziekte of (geestelijke of lichamelijke) onbekwaamheid niet in staat is zijn eigen zaken te behartigen of een patiënt wordt op grond van enige wetgeving inzake geestelijke gezondheid.

12.2 Zonder haar overige rechten of rechtsmiddelen te beperken, kan Christie's het Contract beëindigen:
(a) met betrekking tot de levering van Diensten, door aan de Leverancier een schriftelijke opzegging van drie maanden te sturen; en
(b) met betrekking tot de levering van Goederen, door een schriftelijke opzegging met onmiddellijke ingang aan de Leverancier te sturen in welk geval Christie's de Leverancier de prijs voor reeds geleverd en door Christie's aanvaarde Goederen zal betalen alsmede (indien men bezig is met het vervaardigen van de Goederen of indien ze voor Christie’s worden bewerkt) een billijke en redelijke vergoeding voor onderhanden werkzaamheden op de beëindigingsdatum aan enige andere Goederen; maar dergelijke vergoeding zal niet het verlies van verwachte winst of eventuele gevolgschade omvatten.

12.3 Onder elke omstandigheid in de onderhavige Voorwaarden waarin Christie's het Contract kan beëindigen, kan Christie's in plaats daarvan een deel van het Contract beëindigen en dan zal het Contract geldig blijven met betrekking tot de overige te leveren prestatie.

13. gevolgen van de BEËINDIGING

Bij beëindiging van het Contract of een deel ervan om enige reden:
(a) waarbij de Diensten zijn beëindigd, dient de Leverancier onmiddellijk aan Christie's alle alsdan al dan niet voltooide Leveranties te leveren (tenzij Christie's aan de Leverancier opdracht heeft gegeven dit niet te doen); en dient zij alle Christie's Materialen te retourneren.  Indien de Leverancier nalaat dit te doen, kan Christie's zonder beperking van haar overige rechten en rechtsmiddelen het gebouw van de Leverancier binnentreden en deze materialen in bezit nemen. Totdat deze materialen zijn geretourneerd of afgeleverd, zal de Leverancier bij uitsluiting van anderen aansprakelijk blijven voor de bewaring ervan en zal zij deze niet gebruiken voor enig doel dat niet op dit Contract betrekking heeft;
(b) zullen de opgebouwde rechten en rechtsmiddelen van partijen bij beëindiging niet worden aangetast, met inbegrip van het recht om schadevergoeding te vorderen met betrekking tot enige wanprestatie van het Contract die bestond bij of voor de beëindigingsdatum; en
(c) zullen artikelen die uitdrukkelijk of stilzwijgend na beëindiging geldig blijven, volledig van kracht blijven.

14. ALGEMEEN

14.1 Overmacht: Geen der partijen zal aansprakelijk zijn jegens de ander als gevolg van enig uitstel of nalaten om haar verplichtingen onder het Contract na te komen indien en voorzover een dergelijk uitstel of nalaten is ontstaan door een gebeurtenis of omstandigheid die buiten de redelijke macht van die partij ligt, die vanwege de aard ervan niet door een dergelijke partij kon worden voorzien of, indien dit wel kon worden voorzien, onvermijdelijk was. Indien de Leverancier door een dergelijke gebeurtenis of omstandigheid gedurende minstens twee weken wordt verhinderd om Goederen en/of Diensten te leveren, zal Christie's het recht hebben, zonder beperking van haar overige rechten of rechtsmiddelen, om dit Contract met onmiddellijke ingang te beëindigen door een schriftelijke opzegging aan de Leverancier.

14.2 Overdracht en onderaanneming:
(a) De Leverancier mag niet zonder de vooraf verkregen schriftelijke toestemming van Christie's alle of enige van haar rechten of verplichtingen onder het Contract cederen, overdragen, opdragen, uitbesteden of op welke andere wijze ook verhandelen.
(b) Christie’s kan op welk moment ook alle of enige van haar rechten onder het Contract aan enige derde of tussenpersoon cederen, overdragen, opdragen, uitbesteden of op enige andere wijze verhandelen.

14.3 Kennisgevingen:
(a) Elke kennisgeving of andere communicatie die op grond van of in verband met dit Contract aan een partij moet plaatsvinden, moet schriftelijk zijn en moet worden afgegeven aan de andere partij in persoon of via gefrankeerde eersteklas post, aangetekend of via een commerciële koerier worden gestuurd aan het ingeschreven kantooradres (indien het een onderneming is) of (in het andere geval) haar hoofdvestiging, of via fax aan het hoofdfaxnummer van de andere partij worden verzonden.
(b) Elke kennisgeving of communicatie wordt geacht naar behoren te zijn ontvangen indien deze persoonlijk is afgegeven, is achtergelaten op het hierboven aangegeven adres of, indien via gefrankeerde eersteklas post of aangetekend is verstuurd, op 9.00 uur op de tweede Werkdag na terpostbezorging, of indien via commerciële koerier afgegeven, op de datum en op het tijdstip waarop het ontvangstbewijs van de koerier is ondertekend, of indien per fax verstuurd, op de eerstvolgende Werkdag na verzending.
(c) Dit artikel 14.3 is niet van toepassing op de betekening van eventuele procedures of andere documenten in enige gerechtsprocedure. Ten behoeve van dit artikel, betekent "schriftelijk" niet e-mails en ter voorkoming van enige twijfel wordt een kennisgeving onder dit Contract niet geldig gedaan indien deze via e-mail is verzonden

14.4 Afstandsverklaring en cumulatieve rechtsmiddelen:
(a) Afstand van enig recht onder het Contract is alleen rechtsgeldig indien dit schriftelijk is verklaard en wordt niet geacht een afstandsverklaring van enige daaropvolgende wanprestatie of verzuim in te houden. Geen enkel nalaten of uitstel door een partij in de uitoefening van enig recht of rechtsmiddel onder het Contract of op grond van het recht zal een afstand van dat of enig ander recht of rechtsmiddel inhouden en evenmin de toekomstige uitoefening ervan beletten of beperken. Geen enkel eenmalige of gedeeltelijke uitoefening van een dergelijk recht of rechtsmiddel zal de nadere uitoefening van dat of enig ander recht of rechtsmiddel beletten of beperken.
(b) Tenzij uitdrukkelijk anderszins is bepaald, zijn rechten die onder het Contract ontstaan cumulatief en sluiten zij niet rechten uit die rechtens worden verkregen.

14.5 Deelbaarheid
(a) Indien een gerecht of enige andere bevoegde autoriteit meent dat enige bepaling (of deel van een bepaling) van het Contract ongeldig, illegaal of niet afdwingbaar is, zal die bepaling of gedeeltelijke bepaling, voorzover dit is vereist, worden geacht te zijn doorgehaald en de geldigheid en afdwingbaarheid van de overige bepalingen van het Contract zullen niet worden aangetast.
(b) Indien enige ongeldige, niet-afdwingbare of illegale bepaling van het Contract  geldig, afdwingbaar en wettig zou zijn indien een deel ervan zou zijn doorgehaald, dan zal de bepaling geldig zijn met de minimale aanpassing die noodzakelijk is om deze wettig, geldig en afdwingbaar te maken.

14.6 Geen deelgenootschap: Geen enkele bepaling in het Contract is bedoeld of wordt geacht een deelgenootschap of samenwerkingsverband van welke aard ook tussen enige van de partijen in te houden, en evenmin zal enige partij voor welk doel ook de tussenpersoon van een andere partij vormen. Geen der partijen is bevoegd om op welke wijze ook op te treden als de tussenpersoon voor de andere partij en deze te binden.

14.7 Geen publiciteit: De Leverancier mag niet zonder de vooraf verkregen toestemming van Christie's de naam of merken van Christie's gebruiken, naar Christie's of de bij haar aangesloten ondernemingen als een klant verwijzen of deze als zodanig identificeren in persberichten, promotie- of marketingmaterialen, aankondigingen, klantenlijsten, succesverhalen of reclame.

14.8 Derden: Iemand die geen partij is bij het Contract heeft geen rechten op grond daarvan of in verband daarmee.

14.9 Afwijking: Elke afwijking van het Contract, met inbegrip van eventuele aanvullende voorwaarden en bepalingen, zal alleen bindend zijn indien deze schriftelijk is overeengekomen en is ondertekend door Christie's.

14.10 Toepasselijk recht en rechtsmacht: Het Contract en enig geschil of enige vordering ontstaan uit of in verband met het Contract of het onderwerp of de vorming ervan (met inbegrip van non-contractuele geschillen of vorderingen), zijn onderworpen aan en worden geïnterpreteerd volgens het recht van Nederland, en partijen onderwerpen zich onherroepelijk aan de exclusieve rechtsmacht van de rechter in Amsterdam.

TERMS AND CONDITIONS FOR THE SUPPLY OF GOODS AND SERVICES TO CHRISTIE'S

Contracts subject to the laws of Hong Kong

The terms and conditions in this Section 1 apply where the Order incorporating these terms and conditions is issued by Christie’s Hong Kong Limited (or another subsidiary of Christie’s Hong Kong Limited which is incorporated in Hong Kong), or in any other case where the Order specifies that the contract is to be made subject to laws of Hong Kong.

1. INTERPRETATION

1.1 Definitions

In these Conditions, the following definitions apply:

Bespoke Contract: any contract for the supply of Goods and/or Services to Christie’s where the terms and conditions of that contract have been individually negotiated

Business Day: a day (other than a Saturday, Sunday or a public holiday) when banks in Hong Kong are open for business.

Christie’s: Christie’s Hong Kong Limited registered in Hong Kong with company number 172080 (or such other subsidiary company of Christie’s Hong Kong Limited to which Goods and/or Services are to be supplied pursuant to the Order).

Christie’s Materials: has the meaning set out in clause 5.3(i).

Commencement Date: has the meaning set out in clause 2.2.

Conditions: these terms and conditions as amended from time to time in accordance with clause 14.8.

Contract: the contract between Christie’s and the Supplier for the supply of Goods and/or Services in accordance with these Conditions.

Deliverables: all documents, products and materials developed by the Supplier or its agents, contractors and employees as part of or in relation to the Services in any form or media, including without limitation drawings, maps, plans, diagrams, designs, pictures, computer programs, data, specifications and reports (including drafts).

Goods: the goods (or any part of them) set out in the Order (including any goods which are supplied to replace defective goods).

Goods Specification: any specification for the Goods, including any related plans and drawings, that is agreed in writing by Christie’s and the Supplier.

Intellectual Property Rights: all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

Order: Christie’s order for the supply of Goods and/or Services, as set out in Christie’s purchase order form or in Christie’s written acceptance of the Supplier's quotation, as the case may be.

Request by Date: the date specified as such in the Order.

Services: the services, including without limitation any Deliverables, to be provided by the Supplier under the Contract as set out in the Service Specification.

Service Specification: the description or specification for Services agreed in writing by Christie’s and the Supplier.

Supplier: the person or firm from whom Christie’s purchases the Goods and/or Services.

1.2 Construction

In these Conditions, the following rules apply:
(a) a person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality);
(b) a references to a party includes its personal representatives, successors or permitted assigns;
(c) a reference to a statute or statutory provision is a reference to such statute or statutory provision as amended or re-enacted. A reference to a statute or statutory provision includes any subordinate legislation made under that statute or statutory provision, as amended or re-enacted;
(d) any phrase introduced by the terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms; and
(e) a reference to writing or written includes faxes and (save in the case of notices given under clause 14.3) e-mails.

2. BASIS OF CONTRACT

2.1 The Order constitutes an offer by Christie’s to purchase Goods and/or Services from the Supplier in accordance with these Conditions.

2.2 The Order shall be deemed to be accepted on the earlier of:
(a) the Supplier issuing written acceptance of the Order; or
(b) any act by the Supplier consistent with fulfilling the Order,
at which point and on which date the Contract shall come into existence (Commencement Date).

2.3 These Conditions do not apply to any arrangement for the supply of Goods and/or Services under a Bespoke Contract. Subject to that qualification, these Conditions apply to the Contract to the exclusion of any other terms that the Supplier seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing. In consideration of Christie’s considering proposals from the Supplier for the supply of goods and/or services to Christie’s, the Supplier agrees that if it seeks to impose or incorporate any terms into the Contract which are inconsistent with these Conditions that proposal shall be deemed to be immediately rejected and replaced by a counter-proposal from Christie’s for the Supplier to perform the Contract upon these Conditions; and that this process shall be repeated as often as necessary to ensure that these Conditions are the last conditions which are proposed to apply to the Contract prior to its formation. Notwithstanding the foregoing, Christie’s may, acting by an authorised signatory and expressly referring to this clause 2.3, agree in writing to accept variations to these Conditions.

2.4 All of these Conditions shall apply to the supply of both Goods and Services except where the application to one or the other is specified.

3. SUPPLY OF GOODS

3.1 The Supplier shall ensure that the Goods shall:
(a) correspond with their description and any applicable Goods Specification;
(b) be of satisfactory quality (within the meaning of the Sale of Goods Ordinance (Cap. 26) and fit for any purpose held out by the Supplier or made known to the Supplier by Christie’s, expressly or by implication, and in this respect Christie’s relies on the Supplier's skill and judgment;
(c) unless otherwise agreed in writing, be free from defects in design, materials and workmanship and remain so for 12 months (or such other period as shall be agreed in writing) after delivery; and
(d) comply with all applicable statutory and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Goods.

3.2 The Supplier shall ensure that at all times it has and maintains all the licences, permissions, authorisations, consents and permits that it needs to carry out its obligations under the Contract in respect of the Goods.

3.3 Christie’s shall have the right to inspect and test the Goods at any time before delivery.

3.4 If following such inspection or testing Christie’s considers that the Goods do not conform or are unlikely to comply with the Supplier's undertakings at clause 3.1, Christie’s shall inform the Supplier and the Supplier shall immediately take such remedial action as is necessary to ensure compliance.

3.5 Notwithstanding any such inspection or testing, the Supplier shall remain fully responsible for the Goods and any such inspection or testing shall not reduce or otherwise affect the Supplier's obligations under the Contract, and Christie’s shall have the right to conduct further inspections and tests after the Supplier has carried out its remedial actions.

4. DELIVERY OF GOODS

4.1 The Supplier shall ensure that:
(a) the Goods are properly packed and secured in such manner as to enable them to reach their destination in good condition;
(b) each delivery of the Goods is accompanied by a delivery note which shows the date of the Order, the Order number (if any), the type and quantity of the Goods (including the code number of the Goods (where applicable)), special storage instructions (if any) and, if the Goods are being delivered by instalments, the outstanding balance of Goods remaining to be delivered; and
(c) if the Supplier requires Christie’s to return any packaging material for the Goods to the Supplier, that fact is clearly stated on the delivery note. Any such packaging material shall only be returned to the Supplier at the cost of the Supplier.

4.2 The Supplier shall deliver the Goods:
(a) on or before the Request by Date or, if no such date is specified, then within 14 days of the date of the Order, or on such other date as Christie’s shall notify to the Supplier in writing;
(b) to Christie’s premises as set out in the Order or as instructed by Christie’s before delivery (Delivery Location); and
(c) during Christie’s normal hours of business on a Business Day, or as instructed by Christie’s.

4.3 Delivery of the Goods shall be completed on the completion of unloading of the Goods at the Delivery Location.

4.4 If the Supplier:
(a) delivers less than 95 per cent of the quantity of Goods ordered, Christie’s may reject all of the Goods; or
(b) delivers more than 105 per cent of the quantity of Goods ordered, Christie’s may at its sole discretion reject all of the Goods or the excess Goods,
and any rejected Goods shall be returnable at the Supplier's risk and expense. If the Supplier delivers more or less than the quantity of Goods ordered, and Christie’s accepts the delivery, a pro rata adjustment at the unit price applicable to the correct quantity of the Goods shall be made to the invoice for the Goods.

4.5 The Supplier shall not deliver the Goods in instalments without Christie’s prior written consent. Where it is agreed that the Goods are delivered by instalments, they may be invoiced and paid for separately. However, failure by the Supplier to deliver any one instalment on time or at all or any defect in an instalment shall entitle Christie’s to the remedies set out in clause 6.1.

4.6 Title and risk in the Goods shall pass to Christie’s on proper completion of delivery in accordance with these conditions.

5. SUPPLY OF SERVICES

5.1 The Supplier shall from the Commencement Date or, if so specified, from the Request by Date and for the duration of this Contract provide the Services to Christie’s in accordance with the terms of the Contract.

5.2 The Supplier shall meet any performance dates for the Services specified in the Order or notified to the Supplier by Christie’s.

5.3 In providing the Services, the Supplier shall:
(a) co-operate with Christie’s in all matters relating to the Services, and comply with all instructions of Christie’s;
(b) perform the Services with the best care, skill and diligence in accordance with best practice in the Supplier's industry, profession or trade;
(c) use personnel who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier's obligations are fulfilled in accordance with this Contract;
(d) ensure that the Services and Deliverables will conform with all descriptions and specifications set out in the Service Specification, and that the Deliverables shall be fit for any purpose expressly or impliedly made known to the Supplier by Christie’s;
(e) provide all equipment, tools and vehicles and such other items as are required to provide the Services;
(f) use the best quality goods, materials, standards and techniques, and ensure that the Deliverables, and all goods and materials supplied and used in the Services or transferred to Christie’s, will be free from defects in workmanship, installation and design;
(g) obtain and at all times maintain all necessary licences and consents, and comply with all applicable laws and regulations;
(h) observe all health and safety rules and regulations and any other security requirements that apply at any of Christie’s premises;
(i) hold all materials, equipment and tools, drawings, specifications and data supplied by Christie’s to the Supplier ( Christie’s Materials) in safe custody at its own risk, maintain Christie’s Materials in good condition until returned to Christie’s, and not dispose or use Christie’s Materials other than in accordance with Christie’s written instructions or authorisation;
(j) not do or omit to do anything which may cause Christie’s to lose any licence, authority, consent or permission upon which it relies for the purposes of conducting its business, and the Supplier acknowledges that Christie’s may rely or act on the Services.

6. CUSTOMER REMEDIES

6.1 If the Supplier fails to deliver the Goods and/or perform the Services by the applicable date, Christie’s shall, without limiting its other rights or remedies, have one or more of the following rights:
(a) to terminate the Contract with immediate effect by giving written notice to the Supplier;
(b) to refuse to accept any subsequent performance of the Services and/or delivery of the Goods which the Supplier attempts to make;
(c) to recover from the Supplier any costs incurred by Christie’s in obtaining substitute goods and/or services from a third party;
(d) where Christie’s has paid in advance for Services that have not been provided by the Supplier and/or Goods which have not been delivered by the Supplier, to have such sums refunded by the Supplier; and
(e) to claim damages for any additional costs, loss or expenses incurred by Christie’s which are in any way attributable to the Supplier's failure to meet such dates.

6.2 If the Goods are not delivered by the applicable date, Christie’s may, at its option, claim or deduct 1.5 per cent of the price of the Goods for each week's delay in delivery by way of liquidated damages, up to a maximum of 10% per cent of the total price of the Goods. If Christie’s exercises its rights under this clause 6.2 it shall not be entitled to the remedies set out in clause 6.1(c) and (e) in respect of the Goods' late delivery but its election to receive such payments shall otherwise be without prejudice to the exercise of its rights under clause 6.1.

6.3 If the Supplier has delivered Goods that do not comply with the undertakings set out in clause 3.1, then, without limiting its other rights or remedies, Christie’s shall be entitled to exercise any one or more of the following rights, whether or not it has accepted the Goods:
(a) to reject the Goods (in whole or in part) whether or not title has passed and to return them to the Supplier at the Supplier's own risk and expense;
(b) to terminate the Contract with immediate effect by giving written notice to the Supplier;
(c) to require the Supplier to repair or replace the rejected Goods, or to provide a full refund of the price of the rejected Goods (if paid);
(d) to refuse to accept any subsequent delivery of the Goods which the Supplier attempts to make;
(e) to recover from the Supplier any expenditure incurred by Christie’s in obtaining substitute goods from a third party; and
(f) to claim damages for any additional costs, loss or expenses incurred by Christie’s arising from the Supplier's failure to supply Goods in accordance with clause 3.1.

6.4 These Conditions shall extend to any substituted or remedial services and/or repaired or replacement goods supplied by the Supplier.

6.5 Christie’s rights under this Contract are in addition to its rights and remedies implied by statute and common law.

7. CHRISTIE’S OBLIGATIONS

Christie’s shall:
(a) provide the Supplier with reasonable access at reasonable times to Christie’s premises for the purpose of providing the Services; and
(b) provide such information as Christie’s considers reasonably necessary for the purpose of enabling the Supplier to provide the Services.

8. CHARGES AND PAYMENT

8.1 The price for the Goods:
(a) shall be the price set out in the Order, or if no price is quoted, the price set out in the Supplier's published price list in force at the Commencement Date; and
(b) shall be inclusive of the costs of packaging, insurance and carriage of the Goods, unless otherwise agreed in writing by Christie’s. No extra charges shall be effective unless agreed in writing and signed by Christie’s.
8.2 The charges for the Services shall be set out in the Order, and shall be the full and exclusive remuneration of the Supplier in respect of the performance of the Services. Unless otherwise agreed in writing by Christie’s, the charges shall include every cost and expense of the Supplier directly or indirectly incurred in connection with the performance of the Services.
8.3 In respect of Goods, the Supplier shall invoice Christie’s on or at any time after completion of delivery. In respect of Services, the Supplier shall invoice Christie’s on completion of the Services. Each invoice shall include such supporting information required by Christie’s to verify the accuracy of the invoice, including but not limited to the relevant purchase order number.
8.4 In consideration of the supply of Goods and/or Services by the Supplier, Christie’s shall pay the invoiced amounts within 30 days of the date of a correctly rendered invoice to a bank account nominated in writing by the Supplier.
8.5 The Supplier shall maintain complete and accurate records of the time spent and materials used by the Supplier in providing the Services, and the Supplier shall allow Christie’s to inspect such records at all reasonable times on request.
8.6 Christie’s may, without limiting its other rights or remedies, set off any amount owing to it by the Supplier against any amount payable by Christie’s to the Supplier under the Contract.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 In respect of the Goods and any goods that are transferred to Christie’s as part of the Services under this Contract, including without limitation the Deliverables or any part of them, the Supplier warrants that it has full clear and unencumbered title to all such items, and that at the date of delivery of such items to Christie’s, it will have full and unrestricted rights to sell and transfer all such items to Christie’s.

9.2 The Supplier assigns to Christie’s, with full title guarantee and free from all third party rights, all Intellectual Property Rights in the products of the Services, including for the avoidance of doubt the Deliverables.

9.3 The Supplier shall obtain waivers of all moral rights in the products, including for the avoidance of doubt the Deliverables, of the Services to which any individual is now or may be at any future time entitled under the Copyright Ordinance (Cap. 528) or any similar provisions of law in any jurisdiction.

9.4 The Supplier shall, promptly at Christie’s request, do (or procure to be done) all such further acts and things and the execution of all such other documents as Christie’s may from time to time require for the purpose of securing for Christie’s the full benefit of the Contract, including all right, title and interest in and to the Intellectual Property Rights assigned to Christie’s in accordance with clause 9.2.

9.5 All Customer Materials are and shall remain the exclusive property of Christie’s.

10. INDEMNITY

10.1 The Supplier shall keep Christie’s indemnified in full against all costs, expenses, damages and losses (whether direct or indirect), including any interest, fines, legal and other professional fees and expenses awarded against or incurred or paid by Christie’s as a result of or in connection with:
(a) any claim made against Christie’s by a third party for death, personal injury or damage to property arising out of, or in connection with, defects in Goods, to the extent that the defect in the Goods is attributable to the acts or omissions of the Supplier, its employees, agents or subcontractors;
(b) any claim made against Christie’s by a third party arising out of, or in connection with, the supply of the Goods or Services, to the extent that such claim arises out of the breach, negligent performance or failure or delay in performance of the Contract by the Supplier, its employees, agents or subcontractors; and
(c) any claim made against Christie’s for actual or alleged infringement of a third party's Intellectual Property Rights arising out of, or in connection with, the manufacture, supply or use of the Goods, or receipt, use or supply of the Services.

10.2 For the duration of the Contract and for any applicable warranty period, the Supplier shall maintain in force, with a reputable insurance company, professional indemnity insurance, product liability insurance and public liability insurance to cover the liabilities that may arise under or in connection with the Contract and shall, on Christie’s request, produce both the insurance certificate giving details of cover and the receipt for the current year's premium in respect of each insurance.

10.3 This clause 10 shall survive termination of the Contract.

11. CONFIDENTIALITY

A party (Receiving Party) shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the Receiving Party by the other party (Disclosing Party), its employees, agents or subcontractors, and any other confidential information concerning the Disclosing Party's business or its products or its services which the Receiving Party may obtain. The Receiving Party shall restrict disclosure of such confidential information to such of its employees, agents or subcontractors as need to know it for the purpose of discharging the Receiving Party's obligations under the Contract, and shall ensure that such employees, agents or subcontractors are subject to obligations of confidentiality corresponding to those which bind the Receiving Party. This clause 11 shall survive termination of the Contract.

12. TERMINATION

12.1 Without limiting its other rights or remedies, Christie’s may terminate the Contract with immediate effect by giving written notice to the Supplier if:
(a) the Supplier commits a material or persistent breach of the Contract and (if such a breach is remediable) fails to remedy that breach within thirty days of receipt of notice in writing of the breach;
(b) the Supplier suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits inability to pay its debts or (being a company) is deemed unable to pay its debts within the meaning of section 178 of the Companies (Winding up and Miscellaneous Provisions) Ordinance (Cap. 32) or (being an individual) is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 6A of the Bankruptcy Ordinance (Cap. 6) or (being a partnership) has any partner to whom any of the foregoing apply;
(c) the Supplier commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors [other than (where a company) for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier];
(d) a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of the Supplier (being a company) other than for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier;
(e) the Supplier (being an individual) is the subject of a bankruptcy petition order;
(f) a creditor or encumbrancer of the Supplier attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days;
(g) an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the Supplier (being a company);
(h) a floating charge holder over the assets of the Supplier (being a company) has become entitled to appoint or has appointed an administrative receiver;
(i) a person becomes entitled to appoint a receiver over the assets of the Supplier or a receiver is appointed over the assets of the Supplier;
(j) any event occurs, or proceeding is taken, with respect to the Supplier in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in clause 12.1(b) to clause 12.1(i) (inclusive);
(k) the Supplier suspends or threatens to suspend, or ceases or threatens to cease to carry on, all or a substantial part of its business; or
(l) the Supplier (being an individual) dies or, by reason of illness or incapacity (whether mental or physical), is incapable of managing his own affairs or becomes a patient under any mental health legislation.

12.2 Without limiting its other rights or remedies, Christie’s may terminate the Contract:
(a) in respect of the supply of Services, by giving the Supplier three months' written notice; and
(b) in respect of the supply of Goods, with immediate effect by giving written notice to the Supplier, in which case Christie’s shall pay the Supplier for Goods already delivered and accepted by Christie’s and (if Goods are in the course of being manufactured or adapted for Christie’s) fair and reasonable compensation for any work in progress on any other Goods at the date of termination; but such compensation shall not include loss of anticipated profits or any consequential loss.

12.3 In any of the circumstances in these Conditions in which Christie’s may terminate the Contract, Christie’s may instead terminate part of the Contract and the Contract shall continue in respect of the remaining supply.

13. CONSEQUENCES OF TERMINATION

On termination of the Contract or any part of it for any reason:
(a) where the Services are terminated, the Supplier shall (unless Christie’s directs the Supplier not to do so) immediately deliver to Christie’s all Deliverables, whether or not then complete; and shall return all Customer Materials. If the Supplier fails to do so, then Christie’s may without limiting its other rights or remedies enter the Supplier's premises and take possession of them. Until they have been returned or delivered, the Supplier shall be solely responsible for their safe keeping and will not use them for any purpose not connected with this Contract;
(b) the accrued rights and remedies of the parties as at termination shall not be affected, including the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination; and
(c) clauses which expressly or by implication have effect after termination shall continue in full force and effect.

14. GENERAL

14.1 Force majeure: Neither party shall be liable to the other as a result of any delay or failure to perform its obligations under the Contract if and to the extent such delay or failure is caused by an event or circumstance which is beyond the reasonable control of that party which by its nature could not have been foreseen by such a party or if it could have been foreseen was unavoidable. If such event or circumstances prevent the Supplier from supplying the Goods and/or Services for more than two weeks, Christie’s shall have the right, without limiting its other rights or remedies, to terminate this Contract with immediate effect by giving written notice to the Supplier.

14.2 Assignment and subcontracting:
(a) The Supplier shall not assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract without the prior written consent of Christie’s.
(b) Christie’s may at any time assign, transfer, charge, subcontract, or deal in any other manner with all or any of its rights under the Contract and may subcontract or delegate in any manner any or all of its obligations under the Contract to any third party or agent.

14.3 Notices:
(a) Any notice or other communication required to be given to a party under or in connection with this Contract shall be in writing and shall be delivered to the other party personally or sent by prepaid first-class post, recorded delivery or by commercial courier, at its registered office (if a company) or (in any other case) its principal place of business, or sent by fax to the other party's main fax number.
(b) Any notice or communication shall be deemed to have been duly received if delivered personally, when left at the address referred to above or, if sent by prepaid first-class post or recorded delivery, at 9.00 am on the second Business Day after posting, or if delivered by commercial courier, on the date and at the time that the courier's delivery receipt is signed, or if sent by fax, on the next Business Day after transmission.
(c) This clause 14.3 shall not apply to the service of any proceedings or other documents in any legal action. For the purposes of this clause, "writing" shall not include e-mails and for the avoidance of doubt notice given under this Contract shall not be validly served if sent by e-mail.

14.4 Waiver and cumulative remedies:
(a) A waiver of any right under the Contract is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising any right or remedy under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor preclude or restrict its further exercise. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
(b) Unless specifically provided otherwise, rights arising under the Contract are cumulative and do not exclude rights provided by law.

14.5 Severance:
(a) If a court or any other competent authority finds that any provision (or part of any provision) of the Contract is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Contract shall not be affected.
(b) If any invalid, unenforceable or illegal provision of the Contract would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

14.6 No partnership: Nothing in the Contract is intended to, or shall be deemed to, constitute a partnership or joint venture of any kind between any of the parties, nor constitute any party the agent of another party for any purpose. No party shall have authority to act as agent for, or to bind, the other party in any way.

14.7 Third parties: A person who is not a party to the Contract shall not have any rights under or in connection with it.

14.8 Variation: Any variation, including any additional terms and conditions, to the Contract shall only be binding when agreed in writing and signed by Christie’s.

14.9 Governing law and jurisdiction: The Contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, Hong Kong law, and the parties irrevocably submit to the exclusive jurisdiction of the courts of Hong Kong.

TERMS AND CONDITIONS FOR THE SUPPLY OF GOODS AND SERVICES TO CHRISTIE'S

Contracts subject to the laws of the People’s Republic of China

The terms and conditions in this Section1 apply where the Order incorporating these terms and conditions is issued by Christie Auction (Shanghai) Co., Ltd which is incorporated in China; or in any other case where the Order specifies that the contract is to be made subject to laws of the People’s Republic of China (the “PRC”).

1. INTERPRETATION

1.1 Definitions

In these Conditions, the following definitions apply:

Bespoke Contract: any contract for the supply of Goods and/or Services to Christie’s where the terms and conditions of that contract have been individually negotiated

Business Day: a day other than a Saturday, Sunday or a public holiday.

Christie’s: Christie Auction (Shanghai) Co.,Ltd. registered in the PRC with its registered number 310000400707474(or its subsidiary or affiliated company in China to which Goods and/or Services are to be supplied pursuant to the Order).

Christie’s Materials: has the meaning set out in clause 5.3(i).

Commencement Date: has the meaning set out in clause 2.2.

Conditions: these terms and conditions as amended from time to time in accordance with clause 14.8.

Contract: the contract between Christie’s and the Supplier for the supply of Goods and/or Services in accordance with these Conditions.

Deliverables: all documents, products and materials developed by the Supplier or its agents, contractors and employees as part of or in relation to the Services in any form or media, including without limitation drawings, maps, plans, diagrams, designs, pictures, computer programs, data, specifications and reports (including drafts).

Goods: the goods (or any part of them) set out in the Order (including any goods which are supplied to replace defective goods).

Goods Specification: any specification for the Goods, including any related plans and drawings, that is agreed in writing by Christie’s and the Supplier.

Intellectual Property Rights: all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

Order: Christie’s order for the supply of Goods and/or Services, as set out in Christie’s purchase order form or in Christie’s written acceptance of the Supplier's quotation, as the case may be.

Request by Date: the date specified as such in the Order.

Services: the services, including without limitation any Deliverables, to be provided by the Supplier under the Contract as set out in the Service Specification.

Service Specification: the description or specification for Services agreed in writing by Christie’s and the Supplier.

Supplier: the person or firm from whom Christie’s purchases the Goods and/or Services.

1.2 Construction

In these Conditions, the following rules apply:
(a) a person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality);
(b) a references to a party includes its personal representatives, successors or permitted assigns;
(c) a reference to a statute or statutory provision is a reference to such statute or statutory provision as amended or re-enacted. A reference to a statute or statutory provision includes any subordinate legislation made under that statute or statutory provision, as amended or re-enacted;
(d) any phrase introduced by the terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms; and
(e) a reference to writing or written includes faxes and (save in the case of notices given under clause 14.3) e-mails.

2. BASIS OF CONTRACT

2.1 The Order constitutes an offer by Christie’s to purchase Goods and/or Services from the Supplier in accordance with these Conditions.

2.2 The Order shall be deemed to be accepted on the earlier of:
(a) the Supplier issuing written acceptance of the Order; or
(b) any act by the Supplier consistent with fulfilling the Order,
at which point and on which date the Contract shall come into existence (Commencement Date).

2.3 These Conditions do not apply to any arrangement for the supply of Goods and/or Services under a Bespoke Contract. Subject to that qualification, these Conditions apply to the Contract to the exclusion of any other terms that the Supplier seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing. In consideration of Christie’s considering proposals from the Supplier for the supply of goods and/or services to Christie’s, the Supplier agrees that if it seeks to impose or incorporate any terms into the Contract which are inconsistent with these Conditions that proposal shall be deemed to be immediately rejected and replaced by a counter-proposal from Christie’s for the Supplier to perform the Contract upon these Conditions; and that this process shall be repeated as often as necessary to ensure that these Conditions are the last conditions which are proposed to apply to the Contract prior to its formation. Notwithstanding the foregoing, Christie’s may, acting by an authorised signatory and expressly referring to this clause 2.3, agree in writing to accept variations to these Conditions.

2.4 All of these Conditions shall apply to the supply of both Goods and Services except where the application to one or the other is specified.

3. SUPPLY OF GOODS

3.1 The Supplier shall ensure that the Goods shall:
(a) correspond with their description and any applicable Goods Specification;
(b) be of satisfactory product quality (within the meaning of the Law of the People's Republic of China on Product Quality effective on 1st September 2015) and fit for any purpose held out by the Supplier or made known to the Supplier by Christie’s, expressly or by implication, and in this respect Christie’s relies on the Supplier's skill and judgment;
(c) unless otherwise agreed in writing, be free from defects in design, materials and workmanship and remain so for 12 months (or such other period as shall be agreed in writing) after delivery; and
(d) comply with all applicable statutory and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Goods.

3.2 The Supplier shall ensure that at all times it has and maintains all the licences, permissions, authorisations, consents and permits that it needs to carry out its obligations under the Contract in respect of the Goods.

3.3 Christie’s shall have the right to inspect and test the Goods at any time before delivery.

3.4 If following such inspection or testing Christie’s considers that the Goods do not conform or are unlikely to comply with the Supplier's undertakings at clause 3.1, Christie’s shall inform the Supplier and the Supplier shall immediately take such remedial action as is necessary to ensure compliance.

3.5 Notwithstanding any such inspection or testing, the Supplier shall remain fully responsible for the Goods and any such inspection or testing shall not reduce or otherwise affect the Supplier's obligations under the Contract, and Christie’s shall have the right to conduct further inspections and tests after the Supplier has carried out its remedial actions.

4. DELIVERY OF GOODS

4.1 The Supplier shall ensure that:
(a) the Goods are properly packed and secured in such manner as to enable them to reach their destination in good condition;
(b) each delivery of the Goods is accompanied by a delivery note which shows the date of the Order, the Order number (if any), the type and quantity of the Goods (including the code number of the Goods (where applicable)), special storage instructions (if any) and, if the Goods are being delivered by installments, the outstanding balance of Goods remaining to be delivered; and
(c) if the Supplier requires Christie’s to return any packaging material for the Goods to the Supplier, that fact is clearly stated on the delivery note. Any such packaging material shall only be returned to the Supplier at the cost of the Supplier.

4.2 The Supplier shall deliver the Goods:
(a) on or before the Request by Date or, if no such date is specified, then within 14 days of the date of the Order, or on such other date as Christie’s shall notify to the Supplier in writing;
(b) to Christie’s premises as set out in the Order or as instructed by Christie’s before delivery (Delivery Location); and
(c) during Christie’s normal hours of business on a Business Day, or as instructed by Christie’s.

4.3 Delivery of the Goods shall be completed on the completion of unloading of the Goods at the Delivery Location.

4.4 If the Supplier:
(a) delivers less than 95 per cent of the quantity of Goods ordered, Christie’s may reject all of the Goods; or
(b) delivers more than 105 per cent of the quantity of Goods ordered, Christie’s may at its sole discretion reject all of the Goods or the excess Goods,
and any rejected Goods shall be returnable at the Supplier's risk and expense. If the Supplier delivers more or less than the quantity of Goods ordered, and Christie’s accepts the delivery, a pro rata adjustment at the unit price applicable to the correct quantity of the Goods shall be made to the invoice for the Goods.

4.5 The Supplier shall not deliver the Goods in installments without Christie’s prior written consent. Where it is agreed that the Goods are delivered by installments, they may be invoiced and paid for separately. However, failure by the Supplier to deliver any one installment on time or at all or any defect in an installment shall entitle Christie’s to the remedies set out in clause 6.1.

4.6 Title and risk in the Goods shall pass to Christie’s on proper completion of delivery in accordance with these conditions.

5. SUPPLY OF SERVICES

5.1 The Supplier shall from the Commencement Date or, if so specified, from the Request by Date and for the duration of this Contract provide the Services to Christie’s in accordance with the terms of the Contract.

5.2 The Supplier shall meet any performance dates for the Services specified in the Order or notified to the Supplier by Christie’s.

5.3 In providing the Services, the Supplier shall:
(a) co-operate with Christie’s in all matters relating to the Services, and comply with all instructions of Christie’s;
(b) perform the Services with the best care, skill and diligence in accordance with best practice in the Supplier's industry, profession or trade;
(c) use personnel who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier's obligations are fulfilled in accordance with this Contract;
(d) ensure that the Services and Deliverables will conform with all descriptions and specifications set out in the Service Specification, and that the Deliverables shall be fit for any purpose expressly or impliedly made known to the Supplier by Christie’s;
(e) provide all equipment, tools and vehicles and such other items as are required to provide the Services;
(f) use the best quality goods, materials, standards and techniques, and ensure that the Deliverables, and all goods and materials supplied and used in the Services or transferred to Christie’s, will be free from defects in workmanship, installation and design;
(g) obtain and at all times maintain all necessary licences and consents, and comply with all applicable laws and regulations;
(h) observe all health and safety rules and regulations and any other security requirements that apply at any of Christie’s premises;
(i) hold all materials, equipment and tools, drawings, specifications and data supplied by Christie’s to the Supplier ( Christie’s Materials) in safe custody at its own risk, maintain Christie’s Materials in good condition until returned to Christie’s, and not dispose or use Christie’s Materials other than in accordance with Christie’s written instructions or authorisation;
(j) not do or omit to do anything which may cause Christie’s to lose any licence, authority, consent or permission upon which it relies for the purposes of conducting its business, and the Supplier acknowledges that Christie’s may rely or act on the Services.

6. CUSTOMER REMEDIES

6.1 If the Supplier fails to deliver the Goods and/or perform the Services by the applicable date, Christie’s shall, without limiting its other rights or remedies, have one or more of the following rights:
(a) to terminate the Contract with immediate effect by giving written notice to the Supplier;
(b) to refuse to accept any subsequent performance of the Services and/or delivery of the Goods which the Supplier attempts to make;
(c) to recover from the Supplier any costs incurred by Christie’s in obtaining substitute goods and/or services from a third party;
(d) where Christie’s has paid in advance for Services that have not been provided by the Supplier and/or Goods which have not been delivered by the Supplier, to have such sums refunded by the Supplier; and
(e) to claim damages for any additional costs, loss or expenses incurred by Christie’s which are in any way attributable to the Supplier's failure to meet such dates.

6.2 If the Goods are not delivered by the applicable date, Christie’s may, at its option, claim or deduct 1.5 per cent of the price of the Goods for each week's delay in delivery by way of liquidated damages, up to a maximum of 10% per cent of the total price of the Goods. If Christie’s exercises its rights under this clause 6.2 it shall not be entitled to the remedies set out in clause 6.1(c) and (e) in respect of the Goods' late delivery but its election to receive such payments shall otherwise be without prejudice to the exercise of its rights under clause 6.1.

6.3 If the Supplier has delivered Goods that do not comply with the undertakings set out in clause 3.1, then, without limiting its other rights or remedies, Christie’s shall be entitled to exercise any one or more of the following rights, whether or not it has accepted the Goods:
(a) to reject the Goods (in whole or in part) whether or not title has passed and to return them to the Supplier at the Supplier's own risk and expense;
(b) to terminate the Contract with immediate effect by giving written notice to the Supplier;
(c) to require the Supplier to repair or replace the rejected Goods, or to provide a full refund of the price of the rejected Goods (if paid);
(d) to refuse to accept any subsequent delivery of the Goods which the Supplier attempts to make;
(e) to recover from the Supplier any expenditure incurred by Christie’s in obtaining substitute goods from a third party; and
(f) to claim damages for any additional costs, loss or expenses incurred by Christie’s arising from the Supplier's failure to supply Goods in accordance with clause 3.1.

6.4 These Conditions shall extend to any substituted or remedial services and/or repaired or replacement goods supplied by the Supplier.

6.5 Christie’s rights under this Contract are in addition to its rights and remedies implied by relevant laws and regulations in the PRC.

7. CHRISTIE’S OBLIGATIONS

Christie’s shall:
(a) provide the Supplier with reasonable access at reasonable times to Christie’s premises for the purpose of providing the Services; and
(b) provide such information as Christie’s considers reasonably necessary for the purpose of enabling the Supplier to provide the Services.

8. CHARGES AND PAYMENT

8.1 The price for the Goods:
(a) shall be the price set out in the Order, or if no price is quoted, the price set out in the Supplier's published price list in force at the Commencement Date; and
(b) shall be inclusive of the costs of packaging, insurance and carriage of the Goods, unless otherwise agreed in writing by Christie’s. No extra charges shall be effective unless agreed in writing and signed by Christie’s.
8.2 The charges for the Services shall be set out in the Order, and shall be the full and exclusive remuneration of the Supplier in respect of the performance of the Services. Unless otherwise agreed in writing by Christie’s, the charges shall include every cost and expense of the Supplier directly or indirectly incurred in connection with the performance of the Services.
8.3 In respect of Goods, the Supplier shall invoice Christie’s on or at any time after completion of delivery. In respect of Services, the Supplier shall invoice Christie’s on completion of the Services. Each invoice shall include such supporting information required by Christie’s to verify the accuracy of the invoice, including but not limited to the relevant purchase order number.
8.4 In consideration of the supply of Goods and/or Services by the Supplier, Christie’s shall pay the invoiced amounts within 30 days of the date of a correctly rendered invoice to a bank account nominated in writing by the Supplier.
8.5 All amounts payable by Christie’s under the Contract are inclusive of amounts in respect of any tax chargeable from time to time.
8.6 The Supplier shall maintain complete and accurate records of the time spent and materials used by the Supplier in providing the Services, and the Supplier shall allow Christie’s to inspect such records at all reasonable times on request.
8.7 Christie’s may, without limiting its other rights or remedies, set off any amount owing to it by the Supplier against any amount payable by Christie’s to the Supplier under the Contract.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 In respect of the Goods and any goods that are transferred to Christie’s as part of the Services under this Contract, including without limitation the Deliverables or any part of them, the Supplier warrants that it has full clear and unencumbered title to all such items, and that at the date of delivery of such items to Christie’s, it will have full and unrestricted rights to sell and transfer all such items to Christie’s.

9.2 The Supplier assigns to Christie’s, with full title guarantee and free from all third party rights, all Intellectual Property Rights in the products of the Services, including for the avoidance of doubt the Deliverables.

9.3 The Supplier shall obtain waivers of all moral rights in the products, including for the avoidance of doubt the Deliverables, of the Services to which any individual is now or may be at any future time entitled under relevant laws and regulations in the PRC or any similar laws and regulations in any jurisdiction.

9.4 The Supplier shall, promptly at Christie’s request, do (or procure to be done) all such further acts and things and the execution of all such other documents as Christie’s may from time to time require for the purpose of securing for Christie’s the full benefit of the Contract, including all right, title and interest in and to the Intellectual Property Rights assigned to Christie’s in accordance with clause 9.2.

9.5 All Customer Materials are and shall remain the exclusive property of Christie’s.

10. INDEMNITY

10.1 The Supplier shall keep Christie’s indemnified in full against all costs, expenses, damages and losses (whether direct or indirect), including any interest, fines, legal and other professional fees and expenses awarded against or incurred or paid by Christie’s as a result of or in connection with:
(a) any claim made against Christie’s by a third party for death, personal injury or damage to property arising out of, or in connection with, defects in Goods, to the extent that the defect in the Goods is attributable to the acts or omissions of the Supplier, its employees, agents or subcontractors;
(b) any claim made against Christie’s by a third party arising out of, or in connection with, the supply of the Goods or Services, to the extent that such claim arises out of the breach, negligent performance or failure or delay in performance of the Contract by the Supplier, its employees, agents or subcontractors; and
(c) any claim made against Christie’s for actual or alleged infringement of a third party's Intellectual Property Rights arising out of, or in connection with, the manufacture, supply or use of the Goods, or receipt, use or supply of the Services.

10.2 For the duration of the Contract and for any applicable warranty period, the Supplier shall maintain in force, with a reputable insurance company, professional indemnity insurance, product liability insurance and public liability insurance to cover the liabilities that may arise under or in connection with the Contract and shall, on Christie’s request, produce both the insurance certificate giving details of cover and the receipt for the current year's premium in respect of each insurance.

10.3 This clause 10 shall survive termination of the Contract.

11. CONFIDENTIALITY

A party (Receiving Party) shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the Receiving Party by the other party (Disclosing Party), its employees, agents or subcontractors, and any other confidential information concerning the Disclosing Party's business or its products or its services which the Receiving Party may obtain. The Receiving Party shall restrict disclosure of such confidential information to such of its employees, agents or subcontractors as need to know it for the purpose of discharging the Receiving Party's obligations under the Contract, and shall ensure that such employees, agents or subcontractors are subject to obligations of confidentiality corresponding to those which bind the Receiving Party. This clause 11 shall survive termination of the Contract.

12. TERMINATION

12.1 Without limiting its other rights or remedies, Christie’s may terminate the Contract with immediate effect by giving written notice to the Supplier if:
(a) the Supplier commits a material or persistent breach of the Contract and (if such a breach is remediable) fails to remedy that breach within thirty days of receipt of notice in writing of the breach;
(b) the Supplier suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits inability to pay its debts;
(c) the Supplier commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors [other than (where a company) for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier];
(d) a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of the Supplier (being a company) other than for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier;
(e) the Supplier (being an individual) is the subject of a bankruptcy petition order;
(f) a creditor or encumbrancer of the Supplier attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days;
(g) an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the Supplier (being a company);
(h) a floating charge holder over the assets of the Supplier (being a company) has become entitled to appoint or has appointed an administrative receiver;
(i) a person becomes entitled to appoint a receiver over the assets of the Supplier or a receiver is appointed over the assets of the Supplier;
(j) any event occurs, or proceeding is taken, with respect to the Supplier in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in clause 12.1(b) to clause 12.1(i) (inclusive);
(k) the Supplier suspends or threatens to suspend, or ceases or threatens to cease to carry on, all or a substantial part of its business; or
(l) the Supplier (being an individual) dies or, by reason of illness or incapacity (whether mental or physical), is incapable of managing his own affairs or becomes a patient under any mental health legislation.

12.2 Without limiting its other rights or remedies, Christie’s may terminate the Contract:
(a) in respect of the supply of Services, by giving the Supplier three months' written notice; and
(b) in respect of the supply of Goods, with immediate effect by giving written notice to the Supplier, in which case Christie’s shall pay the Supplier for Goods already delivered and accepted by Christie’s and (if Goods are in the course of being manufactured or adapted for Christie’s) fair and reasonable compensation for any work in progress on any other Goods at the date of termination; but such compensation shall not include loss of anticipated profits or any consequential loss.

12.3 In any of the circumstances in these Conditions in which Christie’s may terminate the Contract, Christie’s may instead terminate part of the Contract and the Contract shall continue in respect of the remaining supply.

13. CONSEQUENCES OF TERMINATION

On termination of the Contract or any part of it for any reason:
(a) where the Services are terminated, the Supplier shall (unless Christie’s directs the Supplier not to do so) immediately deliver to Christie’s all Deliverables, whether or not then complete; and shall return all Customer Materials. If the Supplier fails to do so, then Christie’s may without limiting its other rights or remedies enter the Supplier's premises and take possession of them. Until they have been returned or delivered, the Supplier shall be solely responsible for their safe keeping and will not use them for any purpose not connected with this Contract;
(b) the accrued rights and remedies of the parties as at termination shall not be affected, including the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination; and
(c) clauses which expressly or by implication have effect after termination shall continue in full force and effect.

14. GENERAL

14.1 Force majeure: Neither party shall be liable to the other as a result of any delay or failure to perform its obligations under the Contract if and to the extent such delay or failure is caused by an event or circumstance which is beyond the reasonable control of that party which by its nature could not have been foreseen by such a party or if it could have been foreseen was unavoidable. If such event or circumstances prevent the Supplier from supplying the Goods and/or Services for more than two weeks, Christie’s shall have the right, without limiting its other rights or remedies, to terminate this Contract with immediate effect by giving written notice to the Supplier.

14.2 Assignment and subcontracting:
(a) The Supplier shall not assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract without the prior written consent of Christie’s.
(b) Christie’s may at any time assign, transfer, charge, subcontract, or deal in any other manner with all or any of its rights under the Contract and may subcontract or delegate in any manner any or all of its obligations under the Contract to any third party or agent.

14.3 Notices:
(a) Any notice or other communication required to be given to a party under or in connection with this Contract shall be in writing and shall be delivered to the other party personally or sent by prepaid first-class post, recorded delivery or by commercial courier, at its registered office (if a company) or (in any other case) its principal place of business, or sent by fax to the other party's main fax number.
(b) Any notice or communication shall be deemed to have been duly received if delivered personally, when left at the address referred to above or, if sent by prepaid first-class post or recorded delivery, at 9.00 am on the second Business Day after posting, or if delivered by commercial courier, on the date and at the time that the courier's delivery receipt is signed, or if sent by fax, on the next Business Day after transmission.
(c) This clause 14.3 shall not apply to the service of any proceedings or other documents in any legal action. For the purposes of this clause, "writing" shall not include e-mails and for the avoidance of doubt notice given under this Contract shall not be validly served if sent by e-mail.

14.4 Waiver and cumulative remedies:
(a) A waiver of any right under the Contract is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising any right or remedy under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor preclude or restrict its further exercise. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
(b) Unless specifically provided otherwise, rights arising under the Contract are cumulative and do not exclude rights provided by law.

14.5 Severance:
(a) If a court or any other competent authority finds that any provision (or part of any provision) of the Contract is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Contract shall not be affected.
(b) If any invalid, unenforceable or illegal provision of the Contract would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

14.6 No partnership: Nothing in the Contract is intended to, or shall be deemed to, constitute a partnership or joint venture of any kind between any of the parties, nor constitute any party the agent of another party for any purpose. No party shall have authority to act as agent for, or to bind, the other party in any way.

14.7 Third parties: A person who is not a party to the Contract shall not have any rights under or in connection with it.

14.8 Variation: Any variation, including any additional terms and conditions, to the Contract shall only be binding when agreed in writing and signed by Christie’s.

14.9 Governing law and jurisdiction: The Contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the laws of the PRC, and the parties irrevocably submit to the exclusive jurisdiction of the China International Economic and Trade Arbitration Commission (CIETAC)..
